Professional Experience

Ray Marchuk has a proven track record as a senior finance executive for both large and small, public and private multinational companies, with experience in developing a strategic direction and partnering with C-level executives. For the last 10 years Ray has been a CFO consultant to several companies in Florida and Arizona. Ray was also an owner and CEO of a $10 million company in the manufacturing sector.

PANTHEON CHEMICAL, INC--- (Consultant) CFO and Director of Manufacturing for this multi-national Chemical Manufacturing Company in Phoenix, AZ (2014-Present)

Developed a customized monthly cash flow forecast model to manage the cash position of the company.

Negotiated loan agreement to meet company working capital needs.

Negotiated factoring arrangement with a large national bank to generate cash from active receivables to meet working capital needs.

Successfully applied for and received Covid-19 Relief Funds for the company. Payroll Protection Program: SBA low-interest, long-term loan; Employee Retention Tax Credit Program tax relief; and various EIDL and Local Grants.

Perform all other standard CFO responsibilities including, preparing annual budgets, reviewing the financials monthly, product pricing, vendor negotiations, BOD presentations, contract preparation and management, communication with company investors, account receivables and payables functions, risk management functions, in-house legal functions, etc.

As Director of Manufacturing responsible for managing product production staff, procurement of over 50 raw material products on a recurring basis, managing all aspects of supply chain, and maintain key customer relations interface.

Developed a detailed business model for the B2B and B2C subscription based company.

Worked with the CEO and outside legal counsel to set up the Corporate structure and documentation for this start-up company.

Helped to prepare multiple detailed Investor Decks

Prepared Stock Subscription Agreements, Stockholder Agreements, and Warrant Agreements for each of the company’s over 30 investors

Positioned the company for sale- provided all company description, industry detail, competitive analysis, valuation rational and financial information.

SCHOLASTIC Inc.-(Full-Time Employee) Sr. VP Finance and Investor Relations, $2B Publishing/Distribution Company (1984-2004)

Helped secure over $1 billion of external capital to facilitate revenue growth and strategic acquisitions via several bank Lines of Credits, a Convertible Debt offering and a Subordinated Bond offering.

Worked with external investment bankers to bring the company private via a LBO and five years later brought the company public via an IPO.

Managed over 100 people in Accounting, Budgeting, Tax, Treasury, and Investor Relations.

Led deal team that completed the purchase and integration of over 20 strategic acquisitions that strengthened the core business while eliminating over $40 million in redundant costs.

Restructured the finance department by upgrading its leadership team, and enhancing systems, processes, and procedures. Increased controls and consistency by centralizing accounting functions, which also decreased headcount, and reduced time required for monthly close by 70%.

Led the Investor Relations function including preparing and participating in quarterly conference calls with Buy Side investors and Sell Side analysts. Responsible for presenting at many Sell Side analyst conferences each year.
