General Counsel East

The Stronach Group (TSG) is a diversified technology, entertainment and physical and on-line gaming company with over 2,300 employees and assets in excess of $1.5 billion. Started as corporate counsel with subsidiary AmTote International, the leading provider of systems software and hardware for the racing industry, progressed upwards with positions of increasing responsibility (General Counsel, Vice President for Business Process Improvement, Personnel Director and Corporate Secretary) and was eventually promoted to General Counsel for the parent company.

SELECTED ACCMPLISHMENTS:

Increased profitability of several aspects of company operations through direct management.

Acted as lead liaison with government regulators in New York, Maryland, Florida, California, Oregon, as well as Canada, South Africa, Australia, and the UK.

Led efforts in forging joint venture and strategic alliance agreements, creating new markets for AmTote’s technology, including on-line applications. Protected intellectual property through development of agreements outlining ownership. Prosecuted several patents.

High-level risk management counsel for TSG content management company, Monarch Entertainment, account wagering company XpressBet, and innovative, cutting-edge on-line applications developed by AmTote.

Corporate Secretary

Saved TSG approximately $100K per year by bringing AML compliance processes in-house from external auditor Deloitte. Instituted internal controls and processes company wide.

Developed centralized, automated contract management system, increasing adherence to boilerplate agreements and reducing variances, resulting in over $100K savings annually.

oOver 50% of contracts implemented on ongoing basis by non-legal staff.

Successfully fought several patent and trademark infringement lawsuits, protecting valuable corporate intellectual property assets, including several successful multi-million-dollar breach-of-contract suits.

Negotiated and documented $12M sale of company to publicly traded corporation. Negotiated for and obtained favorable terms and mitigated cost by partnering with only one counsel.

Saved company over $1M in overtime expenses by analyzing and auditing work hour patterns and implementing new policies and procedures.

Renegotiated company’s banking facilities following bankruptcy, obtaining favorable lines of credit.

Averted security breaches through institution of cyber security policies and procedures in partnership with information technology department. Developed audit schedules, with eight successful SOC 2 audits.

Spearheaded negotiations with labor unions as chief negotiator in 15 collective bargaining sessions.

Averted $20M in potential capital expenditures at Gulfstream Park after numerous agricultural structures had been cited for code violations. Obtained state agricultural exemptions, obviating immediate need for permitting and replacement.
