LEGAL REPRESENTATION FOR BUSINESSES, REAL ESTATE DEVELOPERS AND HIGH NET WORTH INDIVIDUALS in acquiring various businesses and commercial properties, and providing the technical legal expertise to create the financial structure for mergers and acquisitions. Additional skill sets include site analysis, title review, rezoning and obtaining acquisition financing be it debt or equity from five million to one hundred million dollars. As legal counsel I have worked closely with attorneys, brokers and bankers to negotiate and prepare standard and complex leasing agreements, mortgage deeds and notes, organizational documents, letters of intent and purchase and sales contracts for small acquisitions from single family homes to large hotels, marinas, parking garages, hospitals, office buildings, golf courses and residential communities. It is the experience and diversity which I have obtained over the years which allows me to seamlessly work with corporate counsel, brokers, bankers, investment funds and principals in all phases of real estate and businesses to procure venture partners and capital for diverse business ventures such as pharmacies, convention center and hotels and alternate energy.
CHIEF OPERATING OFFICER GOLF COURSES AND RESIDENTIAL COMMUNITIES – As a past Managing Director I had the responsibilities for Acquisition and Development of properties. I was in charge of marketing and budgeting all aspects of a private utility water and waste management plant, restaurant and bar operations, retail outlets and golf courses operations and maintenance. My responsibilities also required that I work with the Home Owner Associations and corporate legal counsel on rezoning issues, negotiating with general contractors and review and approval of legal corporate and condominium documents and banking institutions and negotiate and arrange multi-million dollar acquisition, development and construction financing as needed.
MANAGING DIRECTOR SHOPPING CENTERS - Gun Club Shopping Center, West Boca Shopping Center, Gulfstream Mall – Managing Director, CFO and Director of Leasing responsibilities included acquisitions, rezoning, negotiating and preparing leases, construction and redevelopment, budgeting financing and general management and overseeing operations of the shopping centers.
