PROJECTS

Post Properties and Mid-America REIT merger (Mergers & Acquisitions)

The objective was to negotiate and reach an agreement for the merger of PPS with MAA based on their

respective valuations.

The purpose of this valuation was to determine the fair market value of the total assets ( Subject Interest ) of

Mid-American Company ( MAA ), Post Properties Inc. ( PPS ) and of MAA after the proposed merge.

The financial analysis of PPS and MAA was performed to assess the strengths and weaknesses of each company

and of the merger resulting company

Valuation of both the companies was done using the Discounted Cash Flow approach, followed by Monte Carlo

Simulations.

Valuations were verified using the Comparable Transaction Multiples approach.

The conclusion narrowed down to settle equity value of pro forma ownership of 67.5% MAA / 32.5% PPS share.

Valuation: Valero Energy Corporation (VLO)

The objective was to find out if the VLO stock is overvalued or undervalued by deriving the share price using

various valuation methods and comparing this calculated value with the market stock price on Yahoo Finance.

The expected return was calculated using Capital Asset Pricing Model (CAPM). The Weighted Average Cost of

Capital (WACC) was calculated using data from S&P Capital IQ website.

The valuation was performed using three approaches : Free Cash Flow to Firm(FCFF), Graham Gravity

Valuation Model, and Gordon Dividend Growth Model.

Valuations from above models were given weightage according to their respective reliabilities to calculate the

final share price.

The calculated share price came out to be $62.88 as against $51.02 which was the current market price(Yahoo

Finance). This concluded that the stock was undervalued, indicating a buy signal.
