mergers and acquisitions and risk management. Managed the companys
compliance with the Telephone Consumer Protection Act, Foreign Corrupt
Practices Act, and Office of Foreign Assets Control regulations. ICE is a global
provider of leisure and travel packages offering resort, cruise and destination

of over 1000 therapeutic massage clinics.

compliance, drafting and negotiation of all contracts with franchisees and third

Created the Legal department, responsible for board of director meetings,
negotiation of client contracts, intellectual property protection, dispute

coordination for one round of private financing and then an IPO in March, 2000.
Performed all post-IPO SEC compliance. Also served as VP of Global
Development, opening a branch facility in Bangalore, India. IIS designed
custom websites for corporate clients during the dot.com boom.
MicroAge, Inc. 1986 to 1999
Vice President and Corporate Counsel
Joined in 1986 as Associate Corporate Counsel. Promoted to Vice President
and Corporate Counsel in 1993 and to Vice President, Legal Services in
1998. Responsible for the companys IPO in 1995, the negotiation of all
franchise agreements and vendor agreements, intellectual property, regulatory
compliance, employment issues and dispute resolution. Appointed Managing
Director of the International division in 1996, and opened franchised computer
centers in Moscow, U.S.S.R, Budapest, Hungary and throughout Denmark,
Norway and Iceland as well as a global network of affiliated support centers.
MicroAge was a publicly held multi-billion dollar international franchisor of
computer centers and an IT systems integrator to Fortune 500 clients.
