mergers and acquisitions and risk management. Managed the companys

compliance with the Telephone Consumer Protection Act, Foreign Corrupt

Practices Act, and Office of Foreign Assets Control regulations. ICE is a global

provider of leisure and travel packages offering resort, cruise and destination

Massage Envy Franchising, LLC 2006 to 2013

Created the first Legal department, responsible for the annual registration of

the companys Franchise Disclosure Document (FDD), negotiation of all

agreements for the sale of franchises, trademark registration, dispute and

litigation management, protection of all intellectual property, drafting of all

contracts and risk management oversight. Massage Envy is a national franchisor

of over 1000 therapeutic massage clinics.

DLC Dermacare LLC 2005

Created the in-house Legal department, responsible for the registration of the

companys FDD for the sale of medspa franchises, trademark maintenance and

compliance, drafting and negotiation of all contracts with franchisees and third

parties, dispute resolution and risk management. Dermacare was a national

franchisor of medspa clinics marketed to doctors.

MedAire, Inc. 2003 to 2004

contracting process with all airlines and third party vendors, mergers and

Frontier Technology Services, LLC, dba MicroAge 2001 to 2003

Legal consultant to start-up venture (successor to MicroAge, Inc.) in the areas

of trademark protection and licensing, contract negotiation and the development

of corporate infrastructure to support planned growth. Frontier marketed

computer products to corporate accounts.

Integrated Information Systems, Inc. 1999 to 2001

Created the Legal department, responsible for board of director meetings,

negotiation of client contracts, intellectual property protection, dispute

resolution and development of corporate governance policies. Provided the legal

coordination for one round of private financing and then an IPO in March, 2000.

Performed all post-IPO SEC compliance. Also served as VP of Global

Development, opening a branch facility in Bangalore, India. IIS designed

custom websites for corporate clients during the dot.com boom.

MicroAge, Inc. 1986 to 1999

Vice President and Corporate Counsel

Joined in 1986 as Associate Corporate Counsel. Promoted to Vice President

and Corporate Counsel in 1993 and to Vice President, Legal Services in

1998. Responsible for the companys IPO in 1995, the negotiation of all

franchise agreements and vendor agreements, intellectual property, regulatory

compliance, employment issues and dispute resolution. Appointed Managing

Director of the International division in 1996, and opened franchised computer

centers in Moscow, U.S.S.R, Budapest, Hungary and throughout Denmark,

Norway and Iceland as well as a global network of affiliated support centers.

MicroAge was a publicly held multi-billion dollar international franchisor of

computer centers and an IT systems integrator to Fortune 500 clients.
