DFC GLOBAL CORP 2004-2014

Global diversified financial services company which provided its products over the internet and through a network of over 1500 retail locations in the United States, Canada, United Kingdom, Sweden, Finland, Poland, Spain, Romania, Mexico, and the Republic of Ireland. Global revenues historically exceeded $1.1 billion with EBITDA in excess of $300 million.

§ EVP- Global Finance, Administration & Business Development, and CFO Ø Responsible for global, domestic and international finance, including accounting, treasury, business planning, and forecasting and analysis; strategic planning; business development, acquisitions and divestitures; legal, risk management and regulatory; and corporate human resources. Direct management accountability for twelve senior officers globally. Also, responsible for investor and debt holder relations with principal responsibilities consisting of; direct interface with public equity holders, public debt holders and eleven Wall Street stock analysts which published coverage quarterly on the Company’s public common stock. Ø Responsible for the direct interface with the Company’s Independent Board of Directors, the Board’s Audit Committee, Governance Committee, and Compensation Committee, and for the preparation of all special and regular quarterly reporting packages and presentation materials to these Committees and the Board, in conjunction with the Company’s CEO. Ø Directed the marketing and sale to a private equity firm of the Company’s entire global operations and its respective entities. This process included working with investment bankers that were engaged to sell the Company; oversight of the data room; interfacing with the private equity firms and their principal officers, accounting firms, law firms, lenders, and respective legal counsel; and management of the reviews conducted by the various regulatory bodies and the Securities & Exchange Commission.

Ø Directed the initial public equity stock offering of the Company in 2005, and two follow-on public equity stock offerings in subsequent years. Also, directed several public debt offerings and refinancings, as well as the negotiation of the terms, conditions, covenants, etc. of the Company’s public debt instruments, the Company’s global revolving debt agreements and credit lines, and its multi-currency hedging agreements and instruments. Rapidly promoted through finance, operations, and full P&L management operating roles during a decade with this billion dollar, 1400 store industry leader in the consumer rental, retail, and financial services sectors. (Thorn Americas was sold in 1998 by its publicly-held British parent, Thorn, plc.)

§ Corporate Senior Vice President & Chief Financial Officer / Divisional President, 1996-1998 Ø Directed strategic planning, business development, market research, finance, mergers and acquisitions, investor relations, and information systems. Served on the Executive Committee and the Board of Directors. Led corporate reorganization that reduced overhead costs by $25 million without compromising operational efficiencies. Also served as President, with complete P&L and operational responsibility, for $100 million Thorn Financial Services, Inc. subsidiary which marketed financial products and club programs to over 500,000 customers nationwide. Partnered with the CEO in exploring and developing new business opportunities to grow existing rental and retail business and customer base, managing prototype operations. Developed a rolling three-year strategic business plan and integrated the annual budgeting process.

• Directed $950 Million Sale of Company. Working with investment bankers, managed all pre- sale activities, including presentations and due diligence. Worked with operations and human resources management teams to ensure rapid post-acquisition integration and to maintain profitable operations.

• Led US initiative for NASDAQ Listing of Thorn plc. Implemented new financing, banking, and insurance relationships in connection with NASDAQ listing. With CEO, conducted “road shows” with investment bankers and Wall Street analysts. Negotiated $500 million line of credit.

• Designed New Point of Sale System. Cut costs $10 million, improved direct marketing capabilities, and streamlined labor scheduling system. Enhanced training programs. Developed new capacity for online and e-commerce functions with flexible technology infrastructure. Implemented Oracle database on Unix platform.

§ Senior Vice President and CFO/ Divisional General Manager, RAC Division, 1993-1995 Ø Directed strategic planning, finance, business planning and forecasting, mergers and acquisitions, human resources, legal, customer service, and real estate and construction functions for $750 million division with more than 1100 consumer rental and retail stores during period of explosive growth, as store count doubled. Acquired 160 stores that generated an additional revenue stream of $75 million. Managed capital expenditures budget of $350 million.
