Leah Caplan Law, LLC, Principal Jan., 2011 - Present Currently have own practice drafting employee handbooks for small and mid-size businesses, as well as providing corporate and employment-related legal services. I also draft numerous contracts including severance agreements, non-compete agreements, non- disclosure agreements and independent contractor agreements. Clients include an e- commerce company, a marketing company and a prominent Cleveland non-profit organization.

One Wish, LLC, Independent HR Consultant March, 2014- October, 2014 Provided legal advice and HR support to 33-person company which included restructuring the onboarding process, revising employment-related agreements, assisting with payroll and employee recruitment, and advising management on compliance with employment-related laws and regulations.

Levinson LLP, Independent Contractor Oct., 2009 - June, 2010 Margulies & Levinson LLP, Associate Attorney Dec., 2003 - Sept., 2009 Represented debtors and creditors in corporate reorganizations which included the drafting of complaints, discovery requests, motions and settlements. Also drafted and reviewed purchase orders, suppliers’ contracts, employment agreements, confidentiality agreements and leases. Represented Fortune 500 client in contract disputes and in lawsuits filed by corporate debtors. Negotiated numerous settlements including $350,000 payment to a client’s estate. Provided legal advice on employment-related issues and drafted employee handbooks.

Federal Reserve Bank of Cleveland, Staff Attorney 1994 - 1996 Handled variety of in-house matters including contract negotiations, document review and providing legal advice to Federal Reserve Bank administrators. Negotiated complex contract for purchase of check-imaging software. Drafted the Bank’s FMLA policy and worked closely with the HR Department on matters such as employee discipline, termination and discrimination. Extensively revised the Bank’s employee handbook. Cleveland State University, Assistant Legal Counsel 1989 - 1994 Negotiated, reviewed and drafted numerous documents including requests for proposals, grant contracts and construction documents. Provided legal guidance to the University President, the VP for Finance and other officers. Provided advice to the HR Department on numerous employee matters as well as compliance with federal laws. Handled EEOC complaints and oversaw workers’ compensation processes. Squire, Sanders & Dempsey LLP, Associate 1986 - 1989 Worked on a variety of corporate mergers and acquisitions, including Bridgestone Corporation’s multi-billion dollar purchase of Firestone Tire & Rubber Co. Participated as bond counsel in issuance of $53 million of bonds for Ohio hospital. Drafted numerous memoranda on a variety of research topics.

Currently serve as one of three members of the City of Solon Civil Service Commission

(appointed by Mayor Susan Drucker); volunteer with Legal Aid Society of Cleveland’s Brief Advice and Referral Clinic; interned at Cleveland office of Federal Trade Commission (summer, 1983).
