libraries and related software; captured over 50 million digital aerial images in over 600 counties in the United States
covering over 80% of the United States population; licensed in over 140 countries and territories around the world.
Chief Financial Officer & Treasurer, Chief Accounting Officer - Recruited by this high-growth start-up company
to plan and execute an IPO.
• IPO Preparation: Led all aspects of an IPO. Managed a “bake-off” selection process and rounded out the
investment banking syndicate. Held Organization and Analyst Meetings and numerous investment bank update meetings; and created the initial registration statement, Form S-1, ready for submission to the SEC.
• Budgeting and Forecasting: Installed a budgeting and forecasting system in anticipation of a public offering,
with new emphasis on key drivers – better visibility, accountability, and control of revenues and expenses.
• Revenue Recognition: Researched and led process to resolve a technically complex issue regarding
revenue recognition to achieve compliance with US GAAP. Initiated outside auditor national office contact
with the SEC and kept the Board informed throughout the process, which resulted in SEC approved
alignment of revenue recognition compliance and recasting of financial statements; savings of $1.2 million.
• Internal Controls: Upgraded internal controls and the corporate governance to comply with NASDAQ
requirements in anticipation of the IPO. Reduced risk of error in preparation of financial statements.
BIOPHAN TECHNOLOGIES, INC. (OTC:BIPH), Rochester, New York Area 2005 - 2007
Development-stage public biotechnology company with over 50 issued U.S. patents and over 100 international patents
in biomedical implantable device technologies and interventional MRI safety.

• Cash Flow Crisis Management: Successfully managed vital cash flows to avoid insolvency and bankruptcy,
despite a key investor default. Cut spending by over 50% to allow time to arrange alternate financing.
• Critical Refinancing: Implemented a critical $7.25 million (PIPE) refinancing for short term survival.
• SEC Filings: Prepared numerous SEC filings - periodic reports, Form S-3 and Form S-1 registrations.
• First-Year Sarbanes-Oxley Compliance: Led a team which documented, tested and evaluated key internal
controls. Reduced outside auditor fees by over $100,000.

Vice President & Corporate Controller, Chief Accounting Officer - Led an international professional staff of 65
with 30 in the US and 35 worldwide, comprising 13 legal entities.
• Successful IPO: Joined in April 2000, 4 months prior to the July scheduled IPO date.
Raised $130 million in new capital; one of the last successful IPOs in 2000.
• First Year Sarbanes-Oxley Compliance: Project director of a multi-national cross functional team to
ensure first year compliant with SOX 404. Organized and led this 100-person team to document key
internal controls, tested these controls, evaluated results, and performed remediation where necessary.
Coordinated outside auditor visits to locations worldwide.
• SEC Financial Reporting: Designed and implemented public company processes to support internal
management and SEC reporting which improved the quality of financial information for quarterly earnings
calls. Established a philosophy of continuous improvement, enabling the company to complete SEC
periodic reporting ahead of schedule.
• Technology Leadership: Led a 200-person multi-national project team in the successful implementation
of a major Oracle ERP software upgrade, with no disruption to normal operations. Organized the IT steering
committee into a project team; established a work plan for implementation; created modular testing with
defined acceptance criteria and established user training and acceptance procedures. Avoided use of outside
consultants and saved $2.5 million in consulting fees; and retained all the knowledge within the company.
• Financial Analyses: Directed financial evaluations of numerous proposed biotechnology acquisitions and
joint venture collaborations, including due diligence and overall financial assessment.
• Corporate Governance: Led implementation of corporate governance processes required for public companies.
• Investor Relations: Collaborated with the CFO and VP Investor Relations to create effective investor
communications. Assessed the composition of investors to ensure our messages were attracting investors
with performance expectations similar to those held by management.
