An ENR Top 200 (Engineering News Record) Engineering and Architectural
consulting and design firm with revenues of $75M+. Halff has 13 offices
across Texas and New Mexico. Halff currently has over 525 employees
offering services from flood studies to multi-million dollar highway
projects.

Prior roles at Halff include Controller and Business Manager. Oversaw
accounting for the Trustee-directed portion of all plan assets, accounting
of five real estate limited partnerships, three subsidiaries, and all other
accounting issues that arose for the business.

Associates, beginning in 1984. Implemented an ESOP in 1991 to facilitate
the smooth transition of ownership from the 2nd generation of owners to
the next two generations.
< Managed the end-of-year tax liability process to maximize profits and
minimize taxes each year; ran the firm on an accrual basis, but paid
taxes on the cash basis.
< Evaluated and oversaw the employee benefit package and directed the
process for salary/bonus administration.
< Maintained strict cost controls for property & casualty, workers'
compensation, and professional liability insurance programs, with
renewals averaging +/- 2% versus an industry average of 10% increases.
< Developed, directed and maintained the firm's banking relationships and
served as primary liaison with insurance brokers, business consultants,

< Collaborated closely with Halff Associates' valuation specialists for 20+
years to annually determine enterprise value for the purposes of
acquisitions, internal transactions and monetizing ESOP account balances.
< Led the acquisition of a 20-person engineering firm, determining firm
value and how to finance the transaction; previously analyzed more than a
dozen potential acquisitions and completed five.
< Consistently on the cutting edge of project-based ERP systems in order to
improve internal information and operational metrics (KPIs), thereby
leading to better-run projects for project leaders, and higher
profitability for the firm.
< Implemented an HSA in 2010 that has saved Halff Associates ~$1M+ to date;
also Introduced a program in 2012 that lowered health insurance costs 18%
in 2013, a $1.2M cost savings.
< Liaison to government officials. 25+ years of successfully dealing with
FAR Compliant DCAA audits and issues emanating from our work for the US
Army Corps of Engineers, DOD, FEMA, etc., as well as audits required by
TXDoT, and other state, municipal, and quasi-governmental agencies. Point
man for Department of Labor and Internal Revenue Service audits and
inquiries.

President
A subsidiary of Halff Associates that designs, manufactures, and sells
products that enhance air conditioner efficiency.
Held position simultaneously while serving as CFO to Halff Associates;
maintains role at Mist Ecology upon retiring from Halff.
< Provided key startup leadership in 2007, guiding team members in
research, product design and manufacturing, and sales of both commercial
and residential solutions.
< Directs operations in delivering a unique approach to solving problems
related to evaporative cooling; led team in securing five US patents and
numerous trademarks while developing several proprietary product
features.
< Markets products that save residential customers 15%-30% on cooling
costs, depending on weather; also promotes commercial applications that
reduce cooling expense 15%-40%.
< Communicated additional value to consumers, including greater cooling
capacity, lower peak demand, lower supply air temperatures, and longer
