Transaction / M&A based services (representing approximately 60% of my
time):
I have been involved in a number of large transaction based work dealing
with mergers and acquisitions of listed entities, Australian private
entities and overseas inbound investments. Key responsibilities
include:
. Overall transaction coordination for major transactions often
involving numerous parties (e.g. Legal team, Financial Accountants,
Investment Bankers and internal stakeholders). This would also
include managing overall project timeline and budget management and
reporting for the client.
. Preparation of tax due diligence reports including coordination of
virtual data rooms, queries to the Vendor and discussions with
internal and external stakeholders. This would also involve the
review of previously lodged income tax returns for key issues and
positions taken, tax profiling and potential implications for the
purchaser upon acquisition.
. Presenting our findings to various parties including the Boards of the
Buyer and Seller, legal and financial firms, and investment bankers as
well as coordinating and running regular internal KPMG status update
meetings.
. International tax structuring / planning to ensure foreign
subsidiaries are not adversely impacted by the transaction including
consideration of the transfer pricing implications.
. Reviewing key agreements including Sale and Purchase Agreements (both
from a tax perspective and an overall review to ensure the mechanics
of the Agreement are appropriate for the Buyer and Seller).
Consideration of asset vs. share acquisition scenarios, funding
options (e.g. debt vs equity funding), cross border structuring
(including liaising with KPMG offices in foreign jurisdictions and
preparing effective tax rate calculations under each proposed
structure).
. Determining the tax implications of the proposed transaction on
existing shareholders including considering whether any relief is
available (e.g. rollover relief rules or Double Tax treaty relief).
. Reviewing the financial model to determine whether the tax assumptions
contained in the model are appropriate and reasonable.
Key transactions include acting on behalf of a potential buyer of an
interest in the Northparkes copper mine from Rio Tinto Ltd (global
mining company) valued at US$820M and acting on behalf of Adani
Enterprises (Indian based Energy company) on its acquisition of coal
interests from Linc Energy (Australian based mining company) for US$1B.
Income tax advisory (representing approximately 20% of my time):
Preparation of specific tax advice to clients on an ad-hoc basis. Key
responsibilities include:
. Communicating with the client to understand the issue at hand, the
facts and circumstances that impact the issue and the desired outcome
that the client would like to achieve.
. Tax technical research of past Court cases, rulings / determinations
as released by the Australian Taxation Office to determine precedence
which helps support our argument.
. Consideration of foreign jurisdictions including transfer pricing
implications to ensure all foreign subsidiary entities are treated
appropriately.
. Consideration of the impact on any potential shareholders including
capital management strategies such as on and off market share
buybacks, capital reductions and the repatriation of profits including
associated impact on existing resident and non-resident shareholders.
Key advice prepared include overseeing the preparation of FIN48 and NOL
(section 382 study) advice including discussions with KPMG US colleagues
and presenting advice to Senior Management of the client, tax
structuring/planning for nearmap ltd (Australian software company)
expanding operations to the US (including consideration of Federal/State
tax and Transfer Pricing implications) and various advice on capital
management strategies (share buy-backs, repatriation of profits).
Income tax compliance (representing approximately 20% of my time):
. Preparation / review of both large tax consolidated and stand-alone
income tax returns.
. Tax provision review work as part of the year end (or half year end)
reporting process for audit, including consideration of deferred tax
balances and income tax expense/benefit:
. Preparation of information requests as part of tax office risk audits
including ongoing communication with tax authorities.
