Formulated and executed SN Power’s initial strategic investment plan for Latin America.
Successfully initiated, structured, negotiated and closed SN Power’s first energy investment worldwide.
Successfully initiated, structured, negotiated and closed innovative refinancing for SN Power’s first
acquisition in Peru. This financing was the first private bond placement for a middle market energy
company and reduced the company’s interest cost by 40% while increasing cash flow by 30%.
Successfully initiated, structured, negotiated and closed a $400 Million acquisition of a significant
hydro- power generation company in Peru. This late 2007 acquisition was SN Power’s largest
investment to date and placed SN Power Peru as the fourth largest independent power generation
company in the country. This acquisition resulted in more than doubling of the assets and more than
150% increase in net income for SN Power Peru.
Initiated, formulated and executed SN Power’s initial strategic investment plan for Brazil.

acquisition of Vattenfall’s first energy investment in a power generation company in Peru, complying
with Peruvian, New York and Swedish law.
Initiated and supervised, as project director, the development, constructi on and start-up of a $35MM,
87Mw gas- fired turbine project in Carrasco, Bolivia more than doubling the assets and more than
tripling the income of VIH.
Successfully structured, negotiated and executed Turnkey EPC, Fuel Supply, Site Lease/Right to
Build, Construction Services, Transmission Line/Substation EPC and Rights of Way Agreements for
the above project. The project achieved commercial operations in May, 2000.
Successfully initiated, structured, negotiated and closed the sale of Vattenfall’s assets in South America to
NRG Energy upon Vattenfall’s decision to exit the region.

Initiated and supervised, as project director, the development activities of the green -field $400MM
450MW IGCC Kentucky Pioneer Power Project with East Kentucky Power Cooperative, the City of
Winchester and the State of Kentucky. This project was the first of its scale to use the BP Lurgi process
to produce syngas from a combination of waste coal and municipal waste.
Directly responsible for the identification, financial modeling and analysis, legal documentation and
project financing.
This project required that coordination with local companies, non-profit electric cooperatives, state and
local municipal entities as well as special interest industry groups.
Vice President, Non-Utility Investments - KU CAPITAL CORPORATION (subsidiary of
KU Energy)

Senior, non-regulated, business executive, reporting to the Chief Financial Officer of the holding
company, responsible for the start-up, organization, implementation, financing and profitability of
the non-regulated energy investment business for KU Energy.
Structured and negotiated the acquisition and financing of four power projects and the creation of
two energy joint ventures which resulted in exceeding by 60% its maximum target earnings.
Structured, arranged, and negotiated the financing, as the major investor in the consortium, for
investments in Dutch and Australian power plants.
Negotiated a joint venture with an international oil and gas company for the development of
independent power projects in Central and South America which resulted in several project
opportunities.
Structured, arranged, negotiated, and managed the implementation of the unregulated subsidiary’s
first credit facility without the parent company’s guaranty.

new non-regulated energy investment business for CIPSCO, Inc.
Created and underwrote the first major seasoned gas-turbine utility lease transaction with a total equity
of $17 million. Structured and sold a 49% interest to KU Capital as its first energy investment.
Generated a $1.7 million fee to the company in the KU Capital transaction resulting in Cisco
Investment Company exceeding by 50% its maximum target earnings for the year.
Vice President, Project Finance - CHRYSLER CAPITAL CORPORATION

Primary senior business development executive for the new project finance business unit.
Successfully structured, negotiated and closed a $60 million facilities investment. This project was
the only transaction completed by the group in that year and was responsible for the group achieving
its goals for the year.
Structured, negotiated and coordinated the consortium for the company’s developmental acquisition
of a 35% interest in a $275 million solar-thermal power project. At that time, it was the largest solar-
thermal project in the world.
