Serve as lead sales attorney for OnCue, recently acquired OTT device and service including providing counsel to sales steering

committee, forward/reverse logistics, and drafting and negotiating contracts. Assist business operations and advanced advertising teams

w ith general terms of service, privacy notices, and other disclosures stemming from perpetual technology, geo-targeting, and online

behavioral data collection.

• Counsel: Serve as counsel to engineering, business development, application development, advertising operations/sales,

marketing, customer care, and communications teams at all phases of product development up to anticipated launch for compliance

and product liability issues.

• Compliance: Monitor compliance with United States and major international laws regarding intellectual property, content

regulation, digital-rights management, consumer protection, and advertising.

• Contracts: Draft and negotiate inbound and outbound IP licenses, OEM, joint development, co-location, content licenses. SaaS

Served as primary US legal counsel for eighth largest global brand, supporting all marketing and advertising by providing counsel,

contract review and approval, dispute resolution, and staff training. Provided counsel for digital marketing, social media, mobile and

location-based marketing, production, guild matters, acquisition and distribution of content, and third-party rights issues. Oversaw

domestic management of large global trademark portfolio for all Samsung properties, including strategy, search, clearance, application,

registration, renewal, and administration of portfolio.

• Responsibility: Solely accountable for review and approval of copy, claims, marketing concepts, and promotional strategies in

advertising and contests/sweepstakes for TV, print, radio, mobile, email, social media, and US website.

• Contracts: Drafted and negotiated joint-marketing, agency-of-record, market-intelligence, talent/spokesperson, insertion-order,

music-synch, sports/entertainment event-sponsorship, cause-marketing, and web-development/analytics agreements.

• Accomplishment: Lead counsel for the Samsung.com US Website re-launched in September 2010 including all privacy, terms

of use, e-commerce, CRM, D MCA/CDA, data storage, and IP issues.

Served as head legal contact for content-solutions teams, responsible for acquisition and distribution of applications and content,

including apps, music, movies, VOD, and television through Samsung Smart TV and mobile platforms. Counsel for device, online, and

advertising interactive technology as well as second-screen product-integration development. Drafted, reviewed, and negotiated complex

technology-licensing deals including inbound content, application development, joint development, SDK, EULA, advertising services,

and click-through agreements. Provided compliance counsel for global data protection and privacy, spam, copyright and fair use, online-

user agreements, COPPA, DMCA/CDA, cookies and online behavioral advertising, social media, royalties, and data sharing.

• Training: Provided company-wide legal training regarding new laws and regulations, enforcements, standards, consortia, and

industry best practices.

• Data Breach Response: Headed legal aspect of data-breach response team, assisting in development, enhancement, and
