ROC's/ stock exchanges / SEBI / other agencies under various regulations

and rules.

- Maintaining minute books for meetings of the board of directors/

committee of board of directors & shareholders general meetings.

- Executing secretarial internal audit for assessing the compliance with

the corporate laws.

- Dematerialisation & re-materialising of shares.

- Issuing notices, drafting agenda, recording minutes and preparing annual

report.

- Responsible for change of name, shifting of registered office out side

the state, preparation and modification of MOA/AOA and JV agreements.

- Preparing Compliance Certificate issued by Practicing Company Secretary &

Corporate Governance Report.

- Resolving complaints / queries of shareholders / other stakeholders of

the company.

Audits & Taxation

- Handling the complete planning & management activities for ensuring

completion of internal, statutory audits within time including

preparation of audit manual for internal audit.

- Overseeing internal audit of companies including setting up internal

audit systems & monitoring the implementation of systems and providing

feedback to the top management with regular internal audit reports.

- Preparing tax plans and ensuring timely assessment and filing of direct &

indirect tax returns, TDS, fringe benefit tax, income tax and service tax

in compliance with statutory tax acts.

- Verifying sales & purchase summary for sales tax return and preparation

of set-off working for monthly & annual return, VAT return & assessment.

- Implementing systems - ERP called MFGPRO and attending JV issues along

with finance, accounting, purchase, stores, excise & sales tax.

Financial Control

- Implementing financial results forecasting system for providing accurate

future results projections and budgeting system ensuring timely

compilation and presentation of Budgets.

- Projecting future outlook to corporate finance thereby ensuring

achievement on month over month basis as well as tracking credit control

process.

- Monitoring cash flows and ensuring that funds are arranged in the most

cost effective manner after projecting accurate cash forecast ensuring

that there is no shortage of cash in hand.

- Preparing budget review quarterly, half yearly & checking the deviation &

detecting reason for deviation & suggest corrective measures to

management.

- Introduced factoring and forfaiting accounts and inventory in DacEasy.

Best & Crompton, etc.

etc. including refund of Special valuation (3.0 crores), Savings on

Additional Excise Duty (2.26 crores) and Die Amortisation.

- Rendered assistance in statutory, internal, excise, preventive and CERA

audits.

- Attended case laws in excise up to the Appellate Tribunal Level and won

the cases. Knowledge of Sales tax, VAT and appealed against Entry tax in

Tamil Nadu and got stay.

- Conducted Board, Statutory, AGM and EGM for Pvt. Ltd. companies and

maintenance of minutes.

- Prepared and participated in agreements like Basic Purchase, Leave and

licence, supplier agreements Land lease agreements with SIPCOT and rental

agreements.
