Completed funding of $120 million acquisition of Computer Power Group Limited in Australia.
Arranged tender offer acceptance registry services, hedged foreign exchange and conducted arbitrage
share purchases in the open market. Implemented $50 million Australian debt structure that utilized
excess foreign tax credits and provided a $15 million present value tax savings.
Completed concurrent issuance of an additional 7 million shares of common stock for $206 million
and $207 million in 4.5% convertible subordinated debt and issuance of an additional 4.25 million
