Managed M&A group including evaluation of target companies, due diligence, valuation and

negotiation of legal agreements. Transactions include buyback of 24 licensee operations, acquisition

of an outplacement firm and divestiture of a printing technology division in a management buyout.

to finance merger with Norrell Corporation. Consolidated treasury function of combined companies.

Completed funding of $120 million acquisition of Computer Power Group Limited in Australia.

Arranged tender offer acceptance registry services, hedged foreign exchange and conducted arbitrage

share purchases in the open market. Implemented $50 million Australian debt structure that utilized

excess foreign tax credits and provided a $15 million present value tax savings.

Completed concurrent issuance of an additional 7 million shares of common stock for $206 million

and $207 million in 4.5% convertible subordinated debt and issuance of an additional 4.25 million

shares of common stock through $183 million public offering including preparing S-3 Registration

Statements and road show presentation.

Prepared rating agency presentation and financial evaluation for initial public debt rating for the

company and participated in presentation to Moody’s Investor Services and Standard & Poor’s.

Served as back-up to the Director of Investor Relations and assisted in the preparation of quarterly

conference call scripts and presentations.

Managed portfolio of $325 million notional in interest rate swaps and foreign currency options.

Changed foreign exchange trading process to eliminate 1.5% spread cost to market.
