I am responding to your search for a VP Finance and Finance/Operations Executive with skill set and experience requirements which I have achieved throughout my career working with growth-oriented start-up/turnaround companies operating in the technology, SaaS/PaaS/subscription, medical products/content/health technology, digital media/entertainment, advertising/marketing, professionals services, retail (apparel, luxury, CPG), food/beverage (retail), pre-IPO/liquidity planning, real estate, and e-commerce industries, amongst others. I am an experienced executive and CPA with extensive C level strategic finance, reporting, treasury and operations experience in working with growth oriented entrepreneurial and multi-billion-dollar organizations with revenues ranging from start up to>$5B across a broad range of industries. I embody a strong strategic, technical and reporting foundation, driven by my years in public accounting, managing my own management consulting practice, and working as a C level executive, in creating value added solutions that drive growth and efficiencies through change management to maximize revenues, profitability, and enhancing reporting and value through complete transparency and a total team approach. In addition, I have significant experience in public and regulatory reporting (SEC/SOX), raising capital (in public and private markets), M&A/due diligence/integration, liquidity transaction preparation (pre-IPO, due diligence, strategic partner buy/sell side), and have interfaced directly with owners, Boards, Bankers, and Investors as a trusted business adviser in a professional and winning style.

You may be interested in some of my accomplishments, which include:

oTurnaround of the international financial operations of a $70M privately held/family owned manufacturer and distributor of licensed and private label plush infant toys to the mass retailers from a loss position to positive cash flow and EBITDA of $2M through implementation of an MRP process, inventory and receivable management, and controlling chargebacks.

oClosed liquidity transactions for multiple public/private companies across various industries via capital raises, IPOs, and/or buy/sell M&A transactions and integrations aggregating more than $1.5B, while preserving employment for most personnel.

oEstablished new sales channels and revenue streams at e-Retailers (luxury apparel/designer goods) for brick and mortar companies with no Internet presence by leveraging off the existing e-commerce platform infrastructure (website, checkout, warehousing/logistics) of D2C e-Retailers by providing them with e-commerce capabilities at higher margins to the e-Retailers.

oNegotiated cost containment/process improvement programs related to banking arrangements, professional services, warehousing/logistics, inventory management, credit card usage and payment processors, real estate and health benefits at average annual cash flow savings of about $3M.

oEvaluated/implemented new ERP system solutions (Net Suite), royalty and film management systems along with the development of management focused KPI dashboards at cost savings of 30% and payback in less than 2.5 years, resulting in more scalable reporting systems for future growth.

oAddressed technical reporting issues with regulatory bodies on behalf of clients, companies and CPA firms relating to M&A transactions, capitalized software development costs, stock option valuations and costs, and complex debt arrangements, and worked with investment bankers and PE firms in terms of evaluating the technical structuring (capital) and reporting requirements of specific transactions.

oCorrected NASDAQ compliance issues for a publicly traded technology company via a capital raise and a reverse stock split and implemented new revenue strategies which increased per share prices from $1.20 (at stock split) to over $5.50 per share (or greater than a 3.6X market cap increase) in less than 5 months.

oNegotiated, implemented and managed the reporting and programming system for over $650M of TV film/product distribution rights for a DBS pay service in Japan, and supervised the development of a royalty reporting/collections system for a domestic PPV event distributor which increased cash flow by more than 40%, and created timelier and more efficient internal/external reporting and KPIs.

oRe-engineered 7 divisions of a $5B media/entertainment company which created a new high-volume transaction shared service handling all disbursements, royalties and audits, T&E, and marketing costs by leveraging new technology/procedures resulting in savings of more than $7.5M, and more effective KPI reporting.

oDirected an international investors relations program for a US based publicly traded (Neuer Market in Germany) SaaS provider to the broadcast media industry which doubled the media and analyst coverage on the Company and managed the selection and implementation of an ERP reporting system to support the Company's operations across five countries with payback in less than 1.5 years resulting in enhanced and more efficient management reporting capabilities.

oPreserved NOLs aggregating>$.5B by implementing tax strategies related to the shutdown of international operations and acquisitions/sales, and EU related tax strategies.

A leading $93M publicly-traded (NASDAQ:BFLY) e-Retailer and marketplace solutions provider of designer and luxury brands, contemporary and private label apparel and accessories, marketed via multiple flash sale e-commerce sites.

Directed the financial/operational activities of the Company including strategy, reporting, direct liaison with Bankers and Board members, financing (ABL, factoring, and letters of credit) and cash management, and investor relations. Member of three-person executive leadership team responsible for business turnaround via strategic initiatives resulting in the creation of a strategic liquidity (sale) event. Directed the overall M&A financial activities and due diligence with bankers, professionals and target companies,

A $42M publicly-traded (NASDAQ: VTRO) international, technology driven, online search marketing company that generates revenue via Internet search, an app technology platform, display and affiliate advertising, and strategic partnerships with monetization partners and online publishers’ services (including social media, SEO, SEM, PPC and mobile services).
