RELEASE OF CLAIMS

This RELEASE OF CLAIMS (the “Agreement”) is entered into this 6th day of November, 2018, by and between David Baxter (“Baxter”) and Mid-American Salt, LLC (“MAS”). As consideration for the promises by Baxter contained herein, including but not limited to the release and waiver provisions set forth below, MAS have paid Baxter the sum of $3,500.00.

I, David Baxter, release and forever discharge MAS, their past, present and future principals, officers, agents, assigns, representatives, parent corporations, subsidiary corporations, affiliated corporations, related corporations, and insurance carriers (hereinafter the “Releasees”) from any and all rights, claims, actions, causes of action, demands and damages of any kind, arising out of, or in any way related to employment at MAS, including but not limited to the termination notice sent on the 5th day of October, 2018. The Parties agree that, by entering into this Agreement, MAS has fulfulled its employment obligations in paying any and all amounts due and outstanding to Baxter, including but not limited to anything categorized as wages or the like.

I understand that this is all the money or consideration I will receive from the above parties as a result the termination notice and that it is full and final payment. I acknowledge the adequacy of this payment as consideration in full for this Agreement.

I have read this Agreement and understand it. I enter into this Agreement voluntarily, and I did not rely on any statement or representation made by any Releasee, or by any attorney, agent, or other person representing any Releasee, regarding the provisions of this Agreement, the legal liablity of the Releasees, or any federal or state income tax liability, estate tax liability, or inheritance tax liability.

I agree that the terms and conditions of this Agreement will remain private and confidential. Therefore, from and after the date of this Agreement, I shall not disclose or reveal or cause to be revealed or disclosed the terms, conditions, or provisions of this Agreement to any person or entity for any reason whatsoever, except their attorneys and tax advisors or as otherwise required by a court or other entity with appropriate jurisdiction.

This Agreement shall be governed by and construed in accordance with the laws of Indiana. Photocopies or telecopies or electronically transmitted images of this Agreement (including signature pages) may be used in place of originals for any and all purposes.
