As a successful attorney with significant business and trial experience, I instilled confidence and positive outcomes for clients in diverse industries including communications, healthcare, collections, education and manufacturing. Selected Accomplishments

Designed, Implemented and Maintained Contract Management System. When I arrived at the UCR School of Medicine, contracts had been developed, negotiated, and maintained by numerous members of the School of Medicine staff. I collected all contracts that existed, and then designed a contract management system, which organizes the numerous contracts and agreements, and keeps tracking of key dates for each contract including automatic renewal dates and expiration dates.

Developed and implemented in-house process, slashing firm’s expenses costs. California State Bar enacted mandatory continuing legal education requirements, resulting in an additional expense for each attorney employed by Clayson, Mann, Yaeger & Hansen (CMY&H). Researched and completed all necessary documents qualifying firm to conduct continuing education requirements in house. Reduced continuing education costs by 60%.

Reduced liabilities. Loma Linda University Adventist Health Sciences Center, and its subsidiaries, clients of CMY&H, had thousands of contracts, each with different terms and configurations, exposing them to liabilities. Drafted series of templates for all agreements and kept them up to date and compliant. Reduced business risks and expenses, increasing the bottom line.

Restructured process, cutting client’s expenses. A construction client of CMY&H was paying out excessive overtime due to sporadic scheduling system. Researched process and developed documents allowing for company to institute a modified work week. Reduced overtime, slashing significant amount of expenses.

Facilitated negotiations, minimizing client’s liability. Numerous clients of CMY&H had been named by bankruptcy trustees as the recipients of preferential payments with requests to return funds. Negotiated with bankruptcy estates to resolve issues. Eliminated or reduced amounts that the clients had to return to the estates.

Career Summary

Director of Contracting, The University of California, Riverside, School of Medicine, 2015 to present. As the first person at the School of Medicine charged with the responsibility for the contracting needs of the School of Medicine, my job started as one of understanding the breadth of existing contracts/agreements, gathering the same and developing a system of organizing them. At the same time, I was developing a system for the processing of contracts/agreements, both new and renewals. I have negotiated, reviewed, drafted and edited numerous contracts, including but not limited to, third party payer agreements, Master Affiliation Agreements, Physician Services Agreements, Expert Consultation Agreements and Recruiting Agreements. I have advised senior leadership on all aspects of contracting, and on particular provisions that pose risk to the School of Medicine.

Legal Coordinator, Verliance, Inc., 2013 to 2015. Analyzed collection matters to determine if they were appropriate for legal action. Hired and supervised attorneys across the United States to handle collection matters for a variety of clients. Serve as a liaison between the clients and the attorneys.

Attorney / Shareholder, Clayson, Mann, Yaeger & Hansen (legal firm), 1990 to 2013. Specialized in business law, health care, employment law, entity formation, commercial collections, real estate law, trademark, landlord / tenant law and contract law. Chaired bench trials and jury trials on behalf of plaintiffs and defendants. Developed contract templates and assisted in development of contracting procedure and contract management. Drafted shareholder agreements. Managed the defense of a multimillion dollar lien case.

Associate, Clayson, Mann, Arend & Yaeger, 1985 to 1990. Hired to assist business clients with both transactional and litigation matters. Negotiated and drafted stocks, asset sale agreements and commercial leases. Prosecuted commercial collection matters.

Earlier: Law Clerk, Hart & Hart (legal firm). Drafted complaint, discovery requests, motions and oppositions to motion. Conducted extensive research, helping prepare attorneys for trial.
