Recruited initially to resolve significant challenges within the finance organization, while scrutinizing procedures and compliances to be instrumental in the company’s turnaround and survival. Part of senior management team when company grew from an unprofitable $32 million/100 employee business in 2005 to a vibrant and profitable $180 million/500+ employees business in 2012. Transformed the financial operations, identifying challenges and implementing strategic initiatives. Entrusted with all internal and external financial management, including cash management, M&A/ divestitures, acquisition of debt, bank compliance, SEC reporting, internal controls and audit. Implemented SOX compliance and maintained accounting for equity transactions, i.e., a reverse stock split, stock options, and exercises. Coordinated with Board of Directors in relationship to the company’s eight legal business entities, including company owned/franchise retail stores, manufacturing and wholesale operations, and e-commerce businesses. Manages a team of 28 FTE with a Controller and 10 temporary staff, external auditors and banking relationships, securing bank loans and lines of credit.
Ensures accurate distribution of royalties for high end sports memorabilia and revenue sharing for e-commerce business that has grown from one website to 77 syndicated partnerships.
Analyzed, compiled, consolidated and managed the business to the corporate-wide budget.

Continually assessed internal controls to ensure regulatory compliance for this multi-dimensional company with entities defined as a corporation, limited liability, and partnership, along with sales and use taxes for multi-states.
Launched a corporate credit card program that deferred cash outlay, lowered expenses, improved expense tracking, and generated cash rebate.
Streamlined financial software systems, implementing Optrak, Budget Maestro, and FAS; migrating the in-store stand alone POS to the integrated RMS; and upgrading Microsoft’s Dynamic SL (ERP with GL, inventory, AP, AR and sales modules, integrating third party feeds for manufacturing, payroll and fixed assets).
Saved $150K+ in merchant processing by identifying a more efficient process to reduce the cost per transaction and change improved flow of funds by one day.
Managed all process relating to five distribution centers (Ft. Lauderdale, Chicago, Las Vegas) with +/- 400,000 sq. ft.
Educated and trained division presidents on proper procedures in creating and submitting budgets for consolidation and trained and coached junior staff by teaching an “Accounting 101” class to enhance knowledge base.
Conducted the company’s annual SFAS 142 Goodwill Impairment Testing to meet financial reporting requirements.
Turned around financial operations:
Implemented all financial processes and procedures, overcoming a 5 page Proposed Adjusted Journal Entries report inherited upon joining the organization in 2005 to receiving zero proposed adjustments the next year. Achieved Unqualified Audit Opinion that year and thereafter.
Cultivated relationship with new banking lender, establishing the treasury management and accounting for new loan, during a challenging time when the company initiated a Rights Offering.
Reassessed financial operations late 2008 and took proactive measures to maintain the cash reserve when the company received “Going Concern” opinion from the auditors. Renegotiate with outside vendors and worked with clients and customers. Accounted for employee pay reductions, workforce reductions, and offered salary deferred programs.
CITY COLLEGE, INC. Ft. Lauderdale, FL 2004 to 2005
A not-for-profit private college currently operating five campuses in Florida.
Interim Chief Financial Officer
Led all accounting and finance functions for the college, including management reporting, financial statement processing, and banking negotiations. Worked closely with auditors for year-end financial reporting and financial aid audits. Ensured all schools were compliant with Department of Education financial ratios.
Acquired a tax free municipal bond in excess of $12 million for the purchase of a commercial building for the school’s new campus. Obtained the bond backed by a letter of credit from a major banking institution.
Priced and negotiated all insurance contracts and assisted with the design and implementation of a new 401K program.

Selected to advise this client of MSI Consulting on upgrading and conforming business processes for the newly released Sarbanes-Oxley Act. Collaborated with Big 4 auditor (PWC) to ensure adequate compliance with Section 404.
Strengthened internal controls through extensive training and educating of employees on the Sarbanes-Oxley Act. Led internal testing of procedures making revisions as necessary. Partnered with management in writing processes and creating workflow charts as a standard of practice.
Contributed to the first successful Sarbanes-Oxley compliance audit. Analyzed process workflow documentation and tested data provided by division executives, identifying 110 critical business process cycles among the approximate 300 reviewed.
