Sole In-House Counsel: Negotiated international contracts for the provision of satellite equipment and service to channel partners which required study of international commercial and privacy law. Negotiated international and regional vendor contracts, both from buyer and seller positions, that included telecommunications services and equipment, IT services (software licenses and telecommunications, data center leases, commercial collaboration), commercial real estate leases, convention services contracts (hotel/food-international and USA) construction contracts, human resources, vendor training contracts, development agreements, marketing/promotions agreements, professional services, and intellectual property. Negotiated channel partner agreements (international and US). Legal support for Global Sourcing Group (in-house procurement and supply chain), IT, Sales, Finance, HR, Facilities, and Engineering.

Manager -contracts administration group. Provided skills training in negotiation and legal terms.

Sprint is a fortune 100 company.

Negotiated more than 300 contracts and amendments with public safety entities, educational institutions (EBS), and commercial ITFS broadcasters (BRS) for the 800 MHz Public Safety Relocation (a $4 billion project) and 2.5 GHz spectrum (Wi-Max Broadband Spectrum Development-sold to Clearwire). Drafted and negotiated: Master Service Agreements for equipment procurement; non-disclosure agreements; confidentially agreements; access service agreements; license agreements; virtual and actual collocation agreements; asset purchase agreements; lease agreements and developed in-house contract templates. Mediated disputes between Sprint, local government and FCC (Transition Administrator). (reduction in force)

ORANGE BUSINESS SERVICES/EQUANT INC. (France Telecom), Herndon, VA. 2005-2006

Orange is one of the largest telecommunications carriers in the world, providing fixed line, mobile, video, internet and converged services to 170 million+ customers globally.

Negotiated $2.8 million settlement with Fortune 500 companies for return of overpayment for specialized taxes and USF fees. The settlement had a recurring benefit of $2.7 million per year. Learned various state and federal taxing laws. Developed an oversight process in coordination with tax department to eliminate future over-charging.

Drafted and negotiated software licenses (including use of software in foreign countries); carrier contracts (including special access tariffs); release and settlement agreements; collocation agreements; real property and virtual collocation agreements. Negotiated reseller agreements with national wireless carriers Cingular and T-Mobile (including software licensing provisions).

ENTREPRENEUR & PRESIDENT

Cable television franchising.

Sold the Illinois business, for a profit, in 1994 which is highly unusual for a small personal services business. Developed a fixed price business, speaker at government conferences, and designed marketing materials.

Negotiated more than 30 multi-million dollar/multi-year franchise agreements. Represented local Illinois and Maryland governments in cable franchising including drafting of ordinances and franchise agreements.
