Successfully executed the primary mandates of (1) completing a reverse merger of private SELLAS into a publicly listed target and (2) capitalizing the firm to conduct clinical studies of its portfolio of immuno-oncology therapeutic assets. Managed financial, investor relations and administrative operations of the post-merger public company.
• Managed filing of, and amendments to, the S-4 registration statement with the SEC and secured its effectiveness; cold-called stake holders and encouraged them to support the merger via a shareholder vote.
• Orchestrated all merger and transition-related activities, from securing target’s shareholder vote to closing the merger, to transitioning bank account and decision-making authority to the new firm; spearheaded the integration of the target’s finance team into SELLAS operations.
• Led financing terms negotiation, which resulted in $10.7 million convertible preferred PIPE; directly sourced $4.5 million in under two months.
• Negotiated with warrant holders who demanded Black-Scholes payment triggered by the merger; settled the claims of 16 holders at 23 cents on a dollar through a non-cash transaction thereby saving the company $5.7M in cash and reducing warrant overhang, which would otherwise lead to 14% dilution of common shareholders.
• Managed accounts payable and negotiations with vendors, thereby saving the company approximately $1.7M and $2.1M in cash pre and post-merger respectively.
• Led a team of five finance and accounting department employees; led a multi-disciplinary task force to draft the company’s first 10-K and complete annual audit.
