Career Highlights

During a merger & acquisition, reviewed the lease provision on the radius restriction in one of the company’s agreements, and determined there was a violation of the provision, contrary to the outside attorneys’ interpretation and brought it to the attention of the CEO and CFO. General Counsel reviewed the provision and agreed. The executives were notified and our company had full disclosure of a potential additional expense of

$500,000.

The sub-leasee defaulted on a lease. The landlord had been foreclosed on with the bank owning the property. The exposure to the company was $1,500,000. Set up a meeting with the company’s west coast counsel, the bank and their counsel. Ultimately negotiated a settlement of $700,000, saving the company $800,000. Led a project to dispose of under-performing and non-performing assets, to improve the bottom-line. Set a new program, bringing on board a consulting group to negotiate termination of some lease contracts while I maintained a portfolio of locations to negotiate terminations or improve terms. Lease termination agreements were executed; properties were sold, saving the company over $5,000,000 and eliminating any additional risks. All files were maintained in paper form. Files needed to be manually copied to send to attorneys when issues arose or amendments were proposed. Set up a new program to have all files scanned and maintained in a database. Attorneys, consultants, etc. approved by the company could access the database to review documents to prepare amendments, SNDA’s, etc. and for Mergers & Acquisitions, Due Diligence and Financing Due Diligence.

A major new project was not on track. Assigned to get the project back on track. Redefined the project, adding a different architect, consultant, construction company and put the project back on a new forward tract. Project was able to open on time and meet the company’s financing plan timetable resulting in an increased cash flow of approximately $30,000,000 for this project. On a trip to Miami, with operations, inspected a location that had been closed for a period of time. The mall was also closed with only a security guard on property. Immediately stopped making lease payments on the facility. This resulted in a savings of $400,000 per year through the term of the lease. Professional Experience
