2015-2016 Precision Southeast Inc. Myrtle Beach, SC Chief Financial Officer

CFO of a $50MM private equity backed plastics manufacturer, primarily injection molded automotive

(Tier 2) and home appliance applications. Responsible for all Finance and IT activities. Directed the integration activities of a $13MM acquisition, growing EBITDA from $1.5MM to $6.0MM annually through synergies as well as cost and efficiency improvements. Developed and presented financial models to external lenders and investors to obtain funding for this acquisition. Secured 338 election resulting in tax savings of $1MM. Negotiated over $1MM in local economic incentives to expand distribution facilities.

2013-2014 Quest Specialty Chemicals Inc. Charleston, SC Chief Financial Officer

CFO of a $250MM private equity backed specialty coatings (industrial and automotive finishes) and construction products manufacturer. Responsible for all Finance, IT and HR activities. Directed the integration activities of a $90MM acquisition, growing EBITDA from $32MM to over $50MM through new sales opportunities, cost savings, and other synergies. • Directed the activities of a prepackaged bankruptcy filing in May 2008 to facilitate a $300MM debt for equity swap with former lenders. Affiant for all court filings, as well as direct court testimony. Led process to take company from bankruptcy filing to emergence in 63 days.

• Coordinated the Investment Process Review for subsequent private equity buy-outs in 2009 and 2012.

• Formulated profit improvement objectives to take company from a $33MM net loss position in 2007 to a profit in 2011 (EBITDA from $28MM to over $60MM). Rick P. Martin Page 2 of 2

• Maintained external financial relationships with lenders, private equity investors, an independent Board of Directors, as well as vendors and customers.

• Created and presented banking/road show presentations for lenders, potential equity investors and debt rating agencies (Moodys, S&P).

• Conducted quarterly call-in presentations to keep all invested parties up to date on company performance and forward strategy.

• Negotiated financial terms and covenants with lenders in five separate refinancing transactions, and ensured ongoing compliance with these agreements.

• Designed profit, working capital and liquidity models to minimize interest costs as well as take advantage of $5.0MM of purchase discounts annually.

• Directed external audits with no deficiencies or material weaknesses. 1999-2007 EMS-CHEMIE (North America) Inc. Sumter, SC Vice President, Chief Financial Officer – Thermoplastics Manufacturer CFO/CIO of a $125MM annual sales corporation with Swiss parent (total parent sales of $1.2B), reporting directly to a European Board of Directors. Primary markets of automotive (Tier 2), medical, and food packaging. Direct accountability for executing financial policies, both IFRS and U.S. GAAP, including corporate taxes (domestic and international strategies including Expatriates), internal and external audits, transfer pricing, budgeting and forecasting, legal, product costing/pricing, treasury, ERP selection, implementation and management (Oracle) and IT Security and Disaster Recovery.

• Redesigned and implemented an internal control and functional process system within IFRS guidelines, encompassing all areas of the organization.

• Prepared cost segregation studies generating tax savings of $2MM annually.

• Designed and implemented a transfer pricing control system to ensure conformity to IRS Regulations; company had been convicted of irregularities in this system and served with criminal penalties prior to my arrival.
