Work Experience

1.Azkalany & Partners law firm.

Position: Legal Consultant responsible for corporate sectop in (Oil & Gas and Pharmaceuticals) fields.

Period: September 2014 till June 2017.

Special Responsibilities For Oil & Gas sector:-

-Responsible to follow up all legal/litigation issues related to corporate business in upstream operations such as:

-Follow up concession agreements between our clients and EGPC or its affiliates companies such as GUPCO & GANOPE.

-Follow up the process and assist to issue Drilling permits, Equipment entry permits and Equipment exemptions from Customs for our clients.

-Review all contracts types related to supportive/services companies such as (Catering, Cleaning, Employment, Security, ...Etc.) contracts in coordination with EGPC.

-Make sure that the subcontractors are approved from EGPC before make any contracts/agreements with them.

-Follow up our clients agreements with the EGPC especially cost recovering articles - if needed.

Common Responsibilities for Oil & Gas and Multinational Pharmaceutical companies:-

-Responsible for all legal/litigation issues related to corporate business such as:

-Draft, review all types of contracts such as Distribution, Promotion, Employment, Maintenance and CDAs .etc.

-Responsible to attend before the Courts (various divisions), District Attorney, Police Stations.

-Maintain the relationship between the company & the Notary Public Offices, Police Stations, labor offices, Etc. of other governmental entities.

-Meet with the Implementation bailiffs to finalize any seizing orders against the company.

-Ensure that the Egyptian Laws complies with the policy /aims /conducts /ethics of our customers business.

-Handling a variety of different types of litigation & property matters, including litigation & disputes for our customers favor.

-Drafting & reviewing the responses to the Social Insurance Offices and Labor Offices.

-Providing focused legal advice on variety of legal matters & projects throughout the company, negotiating, understands, as well, provides advice regarding an extremely large & complex corporate structure and managing disputes, litigation, involving in a variety of corporate and employment issues for various business units, as well, interacts with exclusive throughout the organization on business, securities & compensation matters.

-Undertake the legal work to the highest professional and client care standards.

-Act as an advocate on behalf of the client, where appropriate in relevant Courts, tribunals and inquiries and instruct litigation team/external law firms to represent the client as necessary.

Period: October 2008- August 2014.

Major Responsibility:-

a)For Legal/Litigation Part:

-Responsible to study, draft / create & review contracts for different projects, subcontractors &suppliers, and assure that all contract title documents meets general, special conditions and laws.

-Handling & detecting all legal exhibits & documents.

-Responsible to draft legal warnings, Lawsuits documents.

-Responsible to attend before the Courts (various divisions), District Attorney, Police Stations.

-Planning the main & other subsidiary spare plans for the team / department, & direct the team to the strength points & the situation / position of our company.

-Analyzing & studying the various kinds of cases, negotiating all the related parties of the case deeply.

It is reviewing, approving and archiving electronic system for the contracts to be able to track all contracts with its comments since initiation phase till signatures process, and to archive all signed contracts electronically as well for easy accessibility.

This is global system and I was the administrator and the contact point of this system in Egypt.

c)For Compliance Part:

(1) Build the Compliance Standard and related SOP taking into consideration the following:

-Local laws and regulations

-Internal policies and guidelines

-Apply the most stringent rule in all cases

(2) Embed the Compliance Standards in business:

-Provide compliance advices and guidance to business partners in all functions, in order to shape the compliance culture. Lead compliance challenges and support business on how to achieve goals with full integrity

-Share best practices from the industry on how to do business with integrity with the management team

-Establish compliance training plan for associates, support compliance training, and keep track records on the provided training, I am the trainer for (Anti-Bribery FCPA CoC) training annually for all company associates, and archive the training record.

(3) Enforce/impose the compliance culture and requirements:

-Lead risk assessment process across the organization to identify potential compliance risks, measure the possible impact on business, and work with the management team to remediate the identified gaps

-Review the actual transactions related to the compliance standards (on sample basis), and ensure that allegations of misconduct are reported in a timely manner.

-Support the concerned department in implementing sanctions relating to misconduct cases (if any)

-Use the actual misconduct cases as learned lesson for the organization while keeping the confidentiality

-Special focus /attention on the promotional materials to ensure that health authorities requirements are met

-Support the investigation for misconduct cases, and follow up on the sanctions

d)Additional Role:

Position: Due Diligence Coordinator

Major Responsibility:-

-Initiates the due diligence process and requests that the Third Party completes the respective questionnaire

-Checks whether the questionnaire was fully completed and whether the required additional documents have been submitted by the Third Party

-Verifies the input in the questionnaire against the submitted additional documents

-Analyses and reviews questionnaire and additional documents in particular for red flags

-Interacts with the third party in case of issues or questions

-Assesses whether the Third Party can be engaged, maintained or whether a more extensive due diligence is required with support from Legal or Integrity & Compliance

-Performs the more extensive due diligence where and as needed (or retains support from others to handle this

-Involves Corporate Security to perform suitable due diligence in cases where the outcome of the more extensive due diligence still leaves open important questions

-Prepares executive summary identifying any red flags for decision by the business (contract owner)

-Works closely with Legal, Integrity & Compliance, Corporate Security and local Business and facilitates discussions between these functions when / where appropriate

-Ensures that Legal is involved to draw up appropriate contract documentation

-Duly records and maintains documents collected as part of the due diligence process (e.g., questionnaire, reports, evidence of any additional inquiry, internet search, etc.)

-where necessary seeks guidance from Legal and Integrity & Compliance on the interpretation and application of the Anti-Bribery Policy and the Third Party Guideline.

e)Additional Role:

Position: Information Governance & Management (IGM) Coordinator for legal dept.

Major Responsibility:-

1.Follow-up business record management implementation and train the department colleagues on the following:

-What records are generated and obtained through business activities

-Who owns the records

-How long business records have to be retained

-How to dispose business records in a controlled way

-Where and how to find business records

-Where and how to file a new business record

-How to prevent destruction of business records subject to an investigation / litigation

-Take the lead to innovate legal project to recover to Novartis a huge number of millions EGP - 40 Million EGP- and able to have court decisions for Novartis favor to return to Novartis its dues, although the political and economic circumstances.

-Take all litigation actions to keep Novartis assets and save about one million EGP.

-Take the lead to innovate an idea to save about 300’000 EGP every 3 years.
