APR Energy provides fast-track, turnkey power generation solutions to customers and communities globally, with emphasis in Africa, Middle East, Latin America and Asia and is capitalized at $1B+ with 800 people supporting efforts in 15+ countries. LSE: APR (Listed 2011-2016).

General Counsel, Secretary & Chief Compliance Officer

Established and led in-house legal department, ethics, and compliance efforts for corporate governance matters, including UK-based company secretarial function for board as APR’s first general counsel. Negotiated, drafted, and approved customer and supplier contracts, led M&A transactions, created and maintained entities globally, managed outside counsel and internal staff, and participated as member of seven-person senior executive team. Responded to needs of dynamic and changing business environment.

Key Contributions:

Built robust legal practice, which included managing most significant deals and creating compliance program.

Successfully closed transactions of $1B+ and favorably settled numerous disputes.

Served as lead negotiator and lawyer to acquire GE’s $500M turbine rental business – complex transaction and partnership that enabled APR to become exclusive seller of certain GE equipment.

Developed policies and conducted compliance training for all employees, officers, and directors on US Foreign Corrupt Practices Act (FCPA), UK Bribery Act, trade compliance, and anti-money laundering (AML); designed and implemented compliance programs for ethics committee of board of directors, which prevented any reportable compliance issues during tenure as chief compliance officer.

Reduced outside counsel budget by almost 50% over prior years by bringing work in-house, consolidating outside counsel, and negotiating favorable fee discounts.

Created master contract repository (SharePoint) with 50+ agreements in English, Spanish, French, Portuguese and Arabic, which fostered self-help mentality; drafted new forms and improved existing contracts.

Collaborated with human resources to investigate and discipline employees who violated policies.

Authored and recorded Accenture’s mandatory government compliance video for training employees around the world on contracting with governments in accordance with the highest ethical and legal standards (which helped Accenture to become one of the world’s most ethical companies).

Reversed two US federal government termination for cause orders within 60 days of issue, facilitating attainment of satisfactory past performance scores for services.

North America Legal Lead – Utilities (1998-2002)

Led 4-person team supporting all transactions and legal issues with utility companies in North America.

Structured, drafted, and negotiated multi-million dollar agreements with utility companies.

Resolved and settled $700M claim from large Midwestern electric utility on terms favorable to Accenture.
