Practice Summary

Affiliated Entities: Advise university on relationships with Alumni Association,

Athletics Foundation, Development Foundation, Research Foundation, and Real

Estate Foundation (all 501(c)(3) corporations).

Athletics: Advise President, Athletics Director, and NCAA Compliance Officer on

various matters. Negotiate and draft athletics-related employment and business

contracts.

Compliance: Review, investigate, advise and resolve compliance matters with U.S.

Department of Education, Office of Civil Rights; and U.S. Department of Labor,

Office of Federal Contract Compliance Program. Review new legislation, court

cases, and regulations for compliance issues.

Contracts: Review, negotiate and draft business and employment contracts.

Disability: Advise Office of Disability Accommodations.

Ethics: Advise University officials on compliance with the Mississippi Ethics in

Government Act and on governing board ethics policy.

Equal Employment Opportunity: Investigate, draft responses, and represent the

university before the EEOC on charges of discrimination.

Facilities: Board Member for South Mississippi Educational Building Corporation, a

501(c) (3) corportion. Participated and advised on issuance of approximately

$130,000,000 in bonds for campus construction projects.

Faculty: Advise university officers on tenure, promotion, non-renewal, misconduct,

and other employment issues. Represent university in grievance hearings. Advise

Faculty handbook committee.

Intellectual Property: Work with outside counsel on trademark and copyright issues.

Internal Investigations: Investigate, report, and recommend action on allegations of

non-financial misconduct. Assist Internal Auditor on design and implementation of

investigations and reporting of employee fraud, waste and abuse.

Litigation: Primary attorney for university in administrative proceedings, trials, and

appeals of all claims against University, officers and employees. Responsibilities

include planning, implementing, and executing discovery and defense of all claims,

trial, appeal, and supervision of outside counsel. Cases have involved employment

disputes, civil rights, constitutional issues, discrimination, tenure and promotion, tort

claims, and contract disputes. A list of representative cases is attached.

Policies: Research, review, and draft university policies.

Privacy: Research issues and advise university officials on faculty, staff and student

privacy matters and data security issues.

Public Records: Responsible for responses to public records requests under the

Mississippi Public Records Act.

Real Estate: Manage legal issues relating to acquisition and use of real property.

Special Projects: Perform duties relative to sensitive matters requiring diplomacy

and discretion, as assigned by the President.

Sponsored Research: Review, negotiate and draft sponsored research contracts.

Represent university to resolve disputes and audit issues with granting agencies and

subcontractors.

Student Affairs: Advise university officials on matters regarding student affairs.

Represent university in hearings for disciplinary, curriculum, retention, expulsion,

and other student matters.

Taxation: Assist university tax compliance officer. Work with outside counsel and

accountants to resolve tax issues.
