Mr. Rabinowitz is a professional, seasoned, senior management consultant and "master teacher" with over 40 years' experience in both the domestic and international consulting arenas. He has conducted consulting engagements for numerous public and privately held companies in the areas of business development planning, financial control systems, sales and new product launch. His consulting activities have included large and complex engagements requiring coordination of specialists in business planning, finance and law. Biographical Summary

Michael received his undergraduate degree from Middlebury College and his MBA from NYU, with post-graduate studies at Columbia University School of Law. He served as the assistant to the Chairman of the Federal Reserve Board in Washington, DC, and also served as the senior planner for acute care for all hospitals in MA under the first Governor Dukakis administration. He is a recipient of a Pforzheimer Foundation Fellowship by the National Municipal League.

Software competencies include Microsoft Office, ACT, QuickBooks basic and professional, Mindjet and SmartDraw.

Non-professional interests include upper level equine dressage training and FEI competition and equine education programs for psychologically handicapped adults and children. He has served on the board of directors of three therapeutic riding programs.

EXPERIENCE

1992 - Present. Founder and Chief Executive Officer, Strategic Ventures USA, Inc. (SVI) an operations and venture capital consulting company. As founder and CEO of the Company, he is responsible for formulating the strategic direction for the company and overseeing all operations, capital financing, sales, business development and new technology initiatives. The following are examples of client engagements and achievements:

* Executive Director of General Woodcraft, Inc. Responsible for the development and supervision of all capital financing, strategic planning, and operations of the firm. Furthermore, serves as in-house counsel to the Company.

* Created a competitive market assessment and business plan to capitalize and commercially launch an electronic medical record system for physician group practices using FileMaker Pro database and Citrix software that targeted a two-five percent market penetration within 48 months. RESULT: Within: four months, sales went from zero to $8,800,000. As Chief Operating Officer of the company, negotiated inventory price discounts from Microsoft and Apple Computer at below warehouse rates, determined the retail pricing strategy, established licensing agreements with distributors, developed an external sales force, identified physician training program requirements and coordinated the company's interactive website design and customer tracking system for its open architecture EMR software products and services. Within four months, sales exceeded investor expectations with profit ratios above industry standards

* Developed and implemented a $47 million capital financing program for equipment and logistics and material management operating requirements for Puerto Rico's largest prepaid telephone card vending machine business. RESULT: Sales went from $7,500 per week to $85,000+ per week

Expanded the distribution system throughout the country using a unique fixed base and mobile distribution system

Negotiated exclusive vending contracts for prepaid wireless telephone cards with all carriers in the country

Implemented a unique "channel distribution" approach for the company, and positioned it for acquisition by a large telecommunications company.

* Structured and executed the business plan and capital financing approach to raise $53.8 million for a unique brake shoe manufacturing, logistics management, materials management and distribution company for professional trailer rigs. RESULT: Within 9 months the company received long-term purchase orders from three multi-billion dollar truck manufacturers.

* Served as the Director of Operations and Chief Financial Officer to implement turn-around activities for a design and manufacturing company targeted to the theme park, leisure time industries. It had an operating loss in excess of $3.5 million. RESULTS: A reduction of 35% in overhead costs, work-out with the "special assets" division of a major bank, implementation of automated financial systems, the addition of three international clients, and net operating profits of $12.3 million within 14 months.

1976 - 1992. Founded and directed Health Care Dynamics (HCD). HCD is an operation's consulting company targeted to the healthcare industry. HCD executed successful market development and implementation projects for hospital chains, physicians, and small- to medium-sized companies involving start-up, new product development and marketing, merger management, and acquisition and divestiture of operations. Three specific accomplishments included the following:

* Successful capital financing of $31 million for the first, for-profit, holistic adolescent psychiatric hospital chain in the Dallas-Ft. Worth area including logistics management, inventory and materials purchasing and management.

* Turn-around of a $41.5 million design, manufacturing and distribution company.

* Development of the international marketing strategy, management approach and required regulatory approval process for an open heart surgical facility in Tampa, Florida for patients from the Caribbean, Central and South America.

1979 - 1984. Manager of the small business industries and healthcare division at an international certified public accounting firm. Key achievement was rate review and restructuring of third party reimbursement methodologies for all third party insurance companies in 12 states - the biggest being Blue Cross/Blue Shield.

1977-1979. Assistant to the Chairman of the Federal Reserve Board. Responsible for the development of the National Ink Character Recognition program for all banking systems throughout the US as a Special advisor to William (Bill) Martin and David McCracken, Chairman of the Council of Economic Advisors.

1966 - 1976. US Army Medical Service Corps. Honorably discharged as a Captain.
