CO-FOUNDER, CO-OWNER & GENERAL COUNSEL

Co-founded two development companies to pursue casino acquisition and development opportunities. Extensive

experience in the legal and financial analysis of potential transactions, project feasibility analysis and high level

negotiations with key executives of the top ten public gaming companies.

Personally and physically researched over 80% of all gambling facilities in Illinois, Missouri, Mississippi and

Louisiana to identify potential opportunities while developing a comprehensive understanding of industry trends,

competition, regulations and political considerations.

Identified, acquired and sold a casino development site to Isle of Capri after consummating a competitive bidding

process that also included Penn National and Ameristar. This transaction was the catalyst for the merger of two

publicly traded companies and resulted in a significant payment stream to Cadence Capital.

Identified and negotiated leasing rights for prime St. Louis property and initiated a competitive bidding process

followed by extensive discussions/negotiations with Venetian (now Las Vegas Sands), Mandalay (Circus-Circus),

Pinnacle, Ameristar, Penn National, Lakes Gaming and Harrah s. Resulted in partnership with largest gaming

company in the world (Harrah s) to compete for competitively awarded riverboat gaming license.

Retained by investor group to investigate feasibility of acquiring several Midwestern casino operations

establishing a basis for later collaborations.

J&S Real Estate Company, Dow, IL 1999 - Present

FOUNDER, OWNER & GENERAL COUNSEL

Founded Real Estate Development company with a focus in Jersey County, IL. Identify potential sites; determine all

phases of project feasibility and design; oversee all regulatory matters including Federal and State permitting; address and

resolve any adjacent landowner concerns, engage excavating contractors and engineers after extensive RFP process

followed by and negotiating contractual terms and conditions.

Purchased and developed a 40-acre residential subdivision, selling lots to several developers.

Purchased 85-acre tract and developed recreational and residential complex, including the excavation and

construction of a water ski lake and dam.

Argosy Gaming Company, Alton, IL 1993 - 1997

VICE PRESIDENT & ASSOCIATE GENERAL COUNSEL

Reported directly to the CEO/General Counsel of this NYSE emerging jurisdiction gaming company. Member of four-

person executive team steering company through a period of rapid growth. Managed all legal and regulatory affairs, and

identified, engaged and coordinated the services of over 15 law firms to serve as outside counsel for the several ventures

and developments pursued by the company. Named Employee of the Year, 1996.

Significant Legal contributions: managed and directed performance of all legal services for the company. Advised

management in areas including municipal and state government relations, contracts, extensive real estate development,

employment law, leases, labor negotiations, risk management and maritime matters.

Developed and guided transition from primary reliance on outside legal services to primary reliance on in-house

counsel by employing two in-house lawyers, paralegal and administrative support.

Implemented budget and variance tracking system for in-house and outside legal costs.

Standardized procedures for engagement of counsel and billing.

management liaison with regulators in five states.

Nurtured and maintained strong working relationships with gaming commissions in Illinois, Louisiana, Missouri,

Iowa and Indiana

Served as Argosy s primary regulatory interface at all times, including licensing and re-licensing hearings
