Interim Chief Financial Officer (Consultant)

PackageOne is a full service provider of packaging solutions to a wide range of industries. The Company employs approximately 150 people in three manufacturing plants (two in California, one in Nevada) which combined, generate annual revenues approaching $40mm. Duties included all aspects of finance, administration, banking relationships, HR, and Legal. Specific accomplishments included:

aa Stabilizing Banking relationships and securing a $6mm Line of Credit and $2mm of Term Debt.

aa Developing first ever detailed, aaAbottoms upaa annual Operating Plans for each location.

aa Implemented Inventory and Receivables management programs resulting in approximately 45 days of Inventory (down from 90 days) and 40 DSO of Accts. Rec.(down from 60 DSO).

o Inventory and Receivables programs immediately generated nearly $2mm in positive cash flow.

aa Convinced the CEO to aaAright-sizeaa the Company, resulting in 12 months of profitable operations as compared to the prior 48 months of sustained losses.

2004 - 2006 KEYEYE COMMUNICATIONS, Sacramento, Ca.

Chief Financial Officer

Keyeye Communications was a pre-revenue, VC backed fabless semiconductor company whose mission was to successfully develop the first transceiver which will allow voice and data transmission at 10GbPS over copper wire up to distances of 100 meters. The Company has raised $42.5 million and has approximately 55 employees. Duties included all aspects of finance, HR, legal, purchasing and facilities. Specific accomplishments included;

aa Successfully developed a business plan and raised $15 million in a Series B Stock Offering

o The Series B was led by one of the premiere "Tier 1" VC' firms on Sand Hill Road, was 50% oversubscribed and included a 35% increase in value over the Series A funding round.

aa Also completed a $21 million combination Series C Preferred Stock and Venture Debt Offering.

2003-2004 PERSISTENCE SOFTWARE, San Mateo, Ca.

Interim (Consultant) Chief Operating / Financial Officer

Persistence is a leading provider of high-performance, enterprise level data management middleware used in complex data and distributed computing environments. This publicly traded company had annual revenues of approximately $15 million; employed 45 people. Duties included all aspects of Finance, Investor Relations, Legal, Purchasing and Facilities. Brought in as an Interim CFO to ready the company for its eventual sale. Specific accomplishments included;

aa Directed the overall "rightsizing" of the company, returning it to quarterly profitability and breakeven cash flow.

aa Acted as the primary interface with investors and aaAWall Streetaa, and conducted the quarterly earnings calls.

aa Responsible for overseeing the preparation of all SEC filings, quarterly audits, tax returns, etc. .

aa Renegotiated many outstanding "agreements", significantly reducing or eliminating entirely, multi million dollar obligations owed by the Company, while completely avoiding lawsuits.

aa Worked closely with the sales organization to negotiate ALL revenue transactions, and wrote ALL of the Software Licensing Agreements between the Company and its customers.

aa Worked closely with the CEO and other VP's during the initial negotiations, due diligence and eventual sale of the Company to Progress Software which was completed in November, 2004.
