Responsibilities include general oversight of business development including sales and

marketing functions of the company. Duties include interaction with the sales department

of our exclusive channel partner coordinating the sales efforts of our surgical instrument

management ASP application to central sterile departments in hospitals located throughout

the U.S and Canada. I am specifically responsible for four business development managers

assisting a sales force of approximately 100 sales professional throughout the channel

sales and marketing departments of the world s largest manufacturer of washers and

Negotiated the lease of the company s office facilities and all related office

furnishings, equipment and service providers.

Completed the drafting of the company s business plan and private offering circular.

Developed presentation materials and presented the company s model to over 20 venture

capital firms across the U.S.

Negotiated and executed definitive agreement to acquire U.S. s largest registered

dietician consulting firm operating in 33 states generating approximately $4,000,000 in

revenue annually.

Coordinated the start-up of the company s nurse practitioner division, a physician

extender services entity, focused on the employment of nurse practitioners providing

collaborative practitioner services to residents of long-term care facilities. This

required extensive negotiation skills to secure over 20 initial physician collaboration

agreements.

Negotiated the merger of the company s ancillary products division. This division was

formed under separate ownership in 1999 and provided enteral nutrition products to

approximately 150 long-term care facilities in 25 states. The company generates revenue of

approximately $1,800,000 annually.

Responsibilities included developing the holding company from inception to strategically

form and operate healthcare service companies focused on the extended care market.

Companies formed included services in the reimbursement, clinical and product procurement

areas of the healthcare delivery system specifically focused on technology development and

data processing. Accountable for the day to day management of all subsidiary operations in

addition to the managerial oversight of procurement, sales, marketing, finance,

information technology and administration. During the period of company inception to sale,

negotiated the lease and build out of four facility locations including all furnishings,

equipment and service providers.

Coordinated the start-up of ProClaim, Inc., an ancillary supply asset management company

providing services to long-term care operators throughout the U.S. This company provides

data processing, inventory, cash and accounts receivable management and financial

reporting services. Revenue grew from inception to approximately $3,000,000 annually on

managed revenue of approximately $30,000,000 during a five-year period that included

contractual negotiations with small, regional and large long term care operators

(operators included not for profit, governmentally and both privately and publicly held).

This revenue growth was achieved on a capital base of $160,000. Responsible for the

negotiation and sale of the company to The Potomac Group, Inc. in July 1999.

Coordinated the start-up of CostCor, Inc., a materials management company providing

services to long term care operators throughout the U.S. This company provides contract

negotiation, order and invoice processing, formulary development and management reporting

services. Revenue grew from inception to approximately $1,000,000 annually during a twenty

four-month period. Responsible for the negotiation and sale of the company through a

reverse subsidiary merger with Encounter Care Solutions, Inc. (OTC: ECSL) in April 2001.

interaction between subsidiary operations and the parent company reporting directly to the

and sales collateral development.

Oversaw the procurement of all medical products and negotiated the company s purchasing

contracts with various manufacturers.

Negotiated the lease and oversaw the facility build out of the company s corporate

offices including all furnishings, equipment and service providers.

Increased annual revenue from approximately $700,000 to $5,000,000 resulting in a 600%

increase.

Negotiated and oversaw the development of an inventory tracking software platform

utilizing bar code technology designed for long-term care medical supply distribution

departments.

Negotiated the acquisition of Healthcare Marketing, Inc. resulting in the addition of

approximately $1,200,000 annually in revenue, $370,000 pre-tax contribution and 40 long-

term care accounts.
