DTE ENERGY COMPANY, Detroit, Michigan 2001-2002
A diversified energy company, engaged in electric and gas business through its two
primary subsidiaries, Detroit Edison Company and Michigan Consolidated Gas Company.
Additionally involved in significant unregulated activities, including: exploration and
production, interstate pipelines, merchant power generation and coal-related services.
Annual sales of $8 billion with $16 billion of assets and over 11,000 employees.
Senior Vice President, Strategic Planning and Development
Reported to Chairman and CEO with responsibilities for all regulatory, strategic planning
and M&A activities. Had P&L responsibility for diversified assets of MCN Energy held by

A diversified international energy holding company with annual revenues of $3 billion and
$5 billion of assets with over 2,500 employees. MCN consisted of natural gas distribution,
principally Michigan Consolidated Gas Company, and a portfolio of diversified unregulated
energy investments, including natural gas exploration and production, natural gas
gathering, processing and transmission, energy marketing and trading, power generation and
energy technologies. MCN merged with DTE Energy on May 31, 2001.
Executive Vice President, Chief Financial Officer and Treasurer
Reported to Chairman and CEO with responsibility for all financial functions of MCN and
its subsidiaries, including accounting, financial reporting, treasury, investor relations,
tax, risk management, strategic planning, financial planning, budgeting and M&A. Also
responsible for all administrative functions within MCN, including information technology,
public and governmental affairs, administration and human resources. Served as Chairman of
MCN s Risk Committee with responsibilities for all energy and financial related trading
and hedging activities. Regularly reported to Board of Directors on financial matters as
well as quarterly meetings of the Audit Committee of the Board. Directly supervised seven
with indirect supervisory responsibility for 800 employees.
Led efforts to rebuild relationships with Wall Street, including equity and debt research
analysts, institutional investors, commercial banks and investment bankers.
Arranged short-term borrowing facilities that enabled MCN to meet its cash requirements
pending sale of assets no longer within strategy.
Led internal investigation of energy marketing and trading operation related to improper
transactions initiated by traders. Successfully managed communications with investment
community that avoided adverse impact on stock price of MCN.
Led organization-wide effort to develop risk management policies and procedures
consistent with the requirements of SFAS 133 and EITF 98-10. Dramatically increased
internal controls and reporting capabilities relative to risk positions. Regularly
reported progress to Board of Directors.
Developed and presented valuation for discussions with DTE regarding possible merger. Had
primary responsibility for development and presentation of materials for in-depth due
diligence by DTE and its investment bankers, lawyers and accountants. Resulted in merger
agreement for total consideration of $4 billion, including an equity value that reflected
a 60% premium above MCN s pre-announcement stock price.
Led efforts to receive required regulatory approvals for merger, including complex
structural solutions to antitrust issues raised by Federal Trade Commission. Obtained
rapid approval of required agreements from Michigan Public Service Commission.
MICHIGAN CONSOLIDATED GAS COMPANY1979-1998
Sixth largest gas utility in the United States with annual revenues of $1 billion and
assets of $2 billion.

and Treasurer1995-1998
Responsible for all accounting, financial reporting, local tax, strategic planning,
financial planning and regulatory activities. Directly supervised five employees with
indirect supervisory responsibilities for 250 employees.
Initiated and led efforts to substantially reduce local taxes assessed on personal
property. Annual savings to be achieved of $20 million.

Developed and implemented decentralized budget process that included establishment of
divisional controllers to enhance business unit commitment to resource allocation.
Represented MichCon in meetings with equity and debt analysts in connection with periodic
Wall Street presentations by MCN Energy Group.
Part of leadership team to redesign company organizational structure based on work
process principles rather than on a traditional functional basis. Implementation of work
process mapping led to significant efficiency gains and improvements in customer
satisfaction.
Vice President, Marketing and Regulatory Affairs 1993-1995
Assumed responsibilities for sales and marketing activities.
Led development of long-term market growth plan. Plan reflected a shift from volume
growth to an emphasis on profitable market retention and expansion.
Negotiated agreements with major industrial customers to avert loss of largest customers.
Successfully promoted MichCon to local governmental units to obtain franchises in
competition with other utilities.
Vice President, Rates and Regulatory Affairs 1990-1993
Responsible for all regulatory activities before Michigan and Federal ratesetting
agencies.
Lead negotiator with Michigan Public Service Commission Staff and other interveners in
general rate case. Settlement resulted in sufficient rate increases over the three-year
term to enable MichCon to continue to report superior financial results relative to its
peers.
Actively participated in large-scale cultural change effort designed to improve the level
of employee engagement in a changing industry. Effort resulted in dramatic improvement in
employee understanding of the need for cultural change and the importance of personal
accountability to produce results while embracing an explicit set of Visions and Values.
Led advocacy efforts before the Federal Energy Regulatory Commission regarding interstate
pipeline supplier issues. Led negotiations to restructure supply contracts that resulted
in almost $100 million of annual gas cost savings.
