• Divestitures / Restructuring - Netted over $500M of proceeds from four separate transactions, by divesting

Constellation’s value spirits business and eleven wine brands – 1) prepared Offering Memoranda, 2) liaised with

buyers, legal teams, and investment bankers, 3) managed due diligence process, and 4) prepared Board of

Directors deal documentation.

As part of Constellation’s restructuring efforts, set the stage for the divestiture of two separate international

businesses - 1) performed valuation modeling, 2) prepared Offering Memoranda, and 3) managed data room

assembly.

• Acquisitions – Performed valuation modeling and in-depth financial analysis for a several acquisitions.

ITT’s Space Systems Division, a $650M business:

• Financial, Planning & Analysis – Prepared monthly forecasting, annual strategic and operating plans,

managed budgeting, and capital plans, and performed various ad hoc analyses. Integrated the planning

activities of the unit’s three separate sites.

• Proposal Pricing – Managed a group tasked with the preparation of major proposal pricing across Space

Systems three locations: Rochester, NY; Clifton, NJ; and Fort Wayne, IN. Developed a Cost Estimating System

compliant with Defense Contract Audit Agency (DCAA) standards.

• Corporate Development – Managed the Division’s acquisition, divestiture and corporate development activities,

including due diligence, valuation, and strategic justification. Led the division through final negotiations on a

$70M acquisition.

Director, Corporate Development Defense Electronics & Services, McLean, VA

Led all acquisitions for ITT Defense, a $3.6B defense company with seven different businesses.

• Identified target companies, performed valuations, conducted due diligence, negotiated and assessed the

financial impact on ITT from economic value, cash and reporting perspectives.

• Managed the purchase of four businesses including one with a purchase price of greater than $750M, and the

sale of one startup venture.

• Prepared bids ranging in size from $2M to $1.2B, led over ten due diligence teams, and played an integral role

in the transition and integration of an acquired business with sales greater than $450M.
