Advising medical packaging company on a go-private transaction (Type: sell-side, Status: ongoing, Valuation: TBD)

Initially advised on follow-on offering. Deteriorating market conditions have led company to focus on a go-private.

Performed a comprehensive BETA analysis while developing a detailed DCF valuation used in a Board presentation.

Developed LBO and synergies analyses used by acquiror’s financial sponsor for bank presentation.

Valitas Health Services – Advised on acquisition of Valitas (Type: buy-side, Status: closed 11/07, Valuation: ~$360 mm)

Advised Beecken Petty O’Keefe on their acquisition of Valitas, BPOK previously had a minority stake in Valitas.

Conducted detailed survey of prison health market and other health care sub-sectors where Medicaid is the largest

payor to identify comparable companies and precedent transactions and assess the competitive landscape.

Helped create memo presented internally to a Raymond James sub-committee for approval to issue fairness opinion.
