Sr. Vice President/Director of Human Resources 2004 to March, 2009

County Bank, Merced, California

County Bank is a wholly owned subsidiary of Capital Corp of the West (CCOW; NASD) with 39 branches,

six corporate banking centers and one subsidiary. The bank was seized by the FDIC in February 2009.

I successfully transformed the rather dormant HR function into a valuable resource through the

enhancement of benefit programs, talent development, onboarding, performance management,

employee communication, succession planning, career planning, competitive compensation strategies,

both long term and short term and the development and implementation of performance management

training, supervisory training and leadership training. I also served as the Affirmative Action Officer.

The Board of Directors engaged me as an advisor to the Board Compensation Committee on matters of

executive compensation, deferred compensation, stock options and retirement plans (qualified and non-

qualified). They also appointed me to lead a successful CEO search in 2008.

A special commendation and bonus was awarded by the board for my performance as the Corporate

Lead on a major Whistleblower case.

Director of Human Resources 2001 – 2004

Irvine Sensors Corporation (ISC), Costa Mesa, California

Irvine Sensors Corporation designs, develops, manufactures and sells extremely compact three-

dimensional (3-D) electronic and imaging systems and modules. Irvine Sensors has pioneered 3-D

semiconductor technologies related to advanced signal processing and image stabilization technologies

for surveillance system focal planes. In my role as HR Director, I had to “role up my sleeves” and create

the HR function from scratch and gain executive support. Obtaining a complete understanding of the

overall skill set of the technical team was a major challenge.

Departments were not willing to share their technical expertise with other departments. I created a

skills inventory and tied it to the Performance Review Process. With the results of this annual inventory,

we were able to create a Skills Data Base which proved to be invaluable when bidding on Government

Contracts. We also reduced our expenses by decreasing our dependence on external technical

recruiters.

Human Resources Consultant 1996 – 2001

Mutual Services Corporation, Laguna Hills, California

At the advice of our Labor Attorney, I began a consulting services business. This proved to be a

tremendous opportunity which exposed me to a variety of Corporations and taught me the art of

“stepping back” outside the box to view the organizational structure, benefits and policies and

procedures with the intent of obtaining the best outcome without having to consider political bias. The

majority of my consulting was in the area of Qualified Retirement Plans, but other areas included benefit

plans, organizational development, employee relations, and mediation services. Clients were small

defense contractors and medical service providers.

Vice President, Human Resources & Investor Relations 1984 – 1996

Geodynamics Corporation, Torrance, California

Geodynamics Corporation was a company specializing in remote sensing, geographic information

systems, modeling and simulation, software development, and systems engineering and integration for

the Department of Defense and other government agencies with offices in Torrance, California,

Colorado Springs and Denver, Colorado; Fairfax, Virginia; Sunnyvale, California, and Gaithersburg,

Maryland. They were acquired by Logicon in 1996.

Although I started as a “one person HR dept.”, the company grew rapidly and went public in 1984. It

was recognized in 1988 by Business Week as one of the fastest growing companies in America. My role

expanded rapidly and I became a key advisor for the CEO and Board of Directors. I also assumed the

Investor Relations function in 1989. In 1994, I was invited by Chris Cox to the House of Representatives

to meet with Dennis Beresford to present my opinion on his FASB proposal requiring the expensing of

stock options. I also served on the Regional Advisory Committee of NASDAQ.

Geodynamics Corporation was a “think tank” and the success of the corporation depended on attracting

and retaining highly specialized technical experts. We created an employee friendly atmosphere with
