WirelessDeveloper, Inc. East Lansing, MI: Hired to review large volume of broker/license agreements for a

leading provider of wireless content (e.g. ringtones, games, etc.). Additional responsibilities quickly followed

including business development, insurance review and management, overall risk management, and

implementation and management of all employee policies until economy forced my status to part-time.

Legal Counsel / Business Development August, 2007-January, 2009

Drafted or reviewed all contracts and negotiated the same through finalization;

Managed all contracts and implemented new systems to improve efficiencies and reduce risk;

Created & implemented an employee handbook to provide viable business structure and resolved or

advised management on all employee related issues to minimize risk and ensure compliance with law;

Reviewed and advised management on all new business initiatives and undertakings to ensure proper

alignment with goals and reduce exposure to risk including direct to consumer sales program;

First National Bank in Howell, Howell, MI: Revitalized an ailing compliance function for 9 branch - $500MM

national bank by taking on officer responsibilities & creating and managing a bank-wide compliance program.

In my first 7 months my efforts played a major role in upgrading the Bank’s compliance rating from “weak” to

“satisfactory” as determined by the Federal Office of the Comptroller of Currency.

Compliance Officer April, 2003-April, 2006

Became first dedicated compliance officer with oversight of entire bank-wide compliance function;

Created and or revised all policies to ensure alignment with banking regulations or best practices;

Reviewed all existing products and helped evaluate new products while implementing procedures to

promote compliance with regulations, reduce exposure to risk and promote the success and continued

viability of the bank;

Reduced costs by as much as $60K/year and increased efficiencies by personally taking on federally

required compliance audit responsibilities;

Provided bank-wide as well as departmental training on a regular basis for all compliance related

matters and reduced errors by as much as 90% and improved overall understanding and efficiency.

TMP International, Inc., Plymouth, MI: Became increasingly involved with the overall management and

administration of this rapid growth, worldwide leader in the toy/collectible action figure, publishing and multi-

media markets until its relocation to Arizona in 2001. Sales grew from $5MM to $50MM during my term.

Vice President, Business Affairs/General Counsel 1996 -2001

Created a human resources department along with a policy and benefit handbook and managed all facets

of the same for a workforce that more than tripled and was located in 5 states as well as Hong Kong and

Canada;

Reviewed, negotiated and managed all contracts and played an integral role in developing a 3rd party

licensing system to help make TMP a top five leader in the toy action-figure market;

Increased the security and expanded the scope of the organizations major assets, its copyrights and

trademarks, by obtaining necessary registrations, ensuring proper usage and protecting against

infringement which saved over $1MM in outside legal expense;

Played an integral role in the planning and development of the McFarlane Group of companies by

strategically forming and aligning 6 separate stand-alone subsidiaries and acted as corporate secretary

for all companies to ensure proper compliance with reporting requirements and established goals;

Played and active role in the day to day operations along with the President and CFO to better facilitate

the overall activities of the organization and provide for more efficient operations;

Managed all outside counsel necessary for matters requiring specific expertise and litigation.
