• As General Counsel for a privately-owned conglomerate, created and facilitated the integration of legal processes designed to manage

the legal affairs for 12 independent operating companies located in Virginia, South Carolina, Tennessee, Mississippi, New

Hampshire and the Czech Republic, with substantial hedge fund and private equity investments, real property holdings valued in

excess of $340 million, payroll in excess of $69 million, and annual revenues exceeding $2 billion, resulting in better postured

operations at significant overall savings.

Restructured the corporate risk management program for real property, general liability and aviation insurance policies, decreasing the

overall costs by 25% .

Applied strong negotiation tactics and skills to complete contracts for the aggregate purchase and sale of $127.8 million of commercial

real estate.

Served as legal counsel and as a key staff member in the acquisition of five separate companies in three business sectors (resort

operations, technology and manufacturing), for a total purchase price of $36.3 million.

Served as legal counsel for six private charitable foundations with real property and hedge fund assets of $190 million and scheduled

annual gift donations to community programs and cancer research of $24 million.

• Provided strategic legal and business development advice for luxury 5-Diamond/5-Star properties, including Kiawah Island Golf Resort

in South Carolina, The Hermitage Hotel in Tennessee and The Jefferson Hotel in Virginia.

• Developed and implemented a highly effective, comprehensive program for early resolution of liability and workers compensation

claims, resulting in losses dramatically below corresponding annual loss-picks and reducing outside legal fees by 62%.

Project Management

Actively liaise between internal management and outside counsel to oversee and steer legal operations for a broad spectrum of real

estate, business, and corporate law matters.

Manage all phases of major multi-million dollar litigation projects, including leading staff in conducting all phases of due diligence.

Review and negotiate sophisticated commercial contracts and agreements for real estate transactions, services, insurance (property,

casualty, workers compensation and aviation), banking, mergers and acquisitions (M&A), and miscellaneous employment and

confidentiality arrangements.

Author deal memos and letters of interest for potential acquisitions on a worldwide scale.

Educate and update company presidents and internal corporate headquarter departments regarding case statuses and issues in both

Promote company growth and expansion by working with counsel for the seller to successfully negotiate the acquisition of

Recruit, train, and supervise a legal team of attorneys, paralegals, as well as track individual progress an ensure critical compliance

with internal policies, rules and regulations.

Proactively assist in all aspects for the preparation and review of several large government contracting bids for a family-owned defense

contracting business.

Interface with internal company presidents and external customers on a daily basis to build relationships to be an integral member of the
