listed on the New York Stock Exchange from 1994 through 1999, and whose sales
peaked at $400,000,000.
Represented O=Sullivan through the initial public offering process

At Tandy, I initially represented Tandy in the securities, contracts and corporate aspects
of a proposed spin-off by Tandy of its manufacturing operations. When the spin-off was
abandoned, I played a significant role in the disposition of a number of Tandy's non-core
operations, including its computer manufacturing business, Memtek Products, cellular
telephone joint ventures and O=Sullivan.
Houston Industries Incorporated/Houston Lighting & Power Company
Senior Counsel 1988-1992
As a member of a small group, I represented Houston Industries and its subsidiary HL&P
in various securities matters, including Securities Exchange Act reporting and the
issuance of securities, negotiated agreements for acquisitions and dispositions, a long-
term railcar lease agreement, a nuclear decommissioning trust agreement, addressed
corporate secretarial matters and negotiated banking services agreements. I also
addressed other corporate matters.
