Serve as legal counsel to Private Duty and Home Health Agency which

currently serves four counties in Metro Atlanta. Manage an array of

legal issues including successfully defending company in an

administrative hearing against Georgia Department of Community Health

during recoupment and utilization review, negotiated the purchase of

$1.25M facility, prepared a purchase and sale agreement and am

currently overseeing rezoning of said facility. Negotiated an

anticipatory breach of lease and mitigated contract damages saving the

company well over $300,000. Draft cease and desist letters to former

employees and general advisement to CEO on legal matters and

compliance issues. Reviewed and negotiated terms in a letter of

intent to purchase the company and advised owners as to rights and

responsibilities during due diligence period.
