A subsidiary of AT&T, Sterling Commerce is a $600M software company focused
on software solutions that enable its customers to streamline the way they
do business with their extended supply chains.
VICE PRESIDENT, BUSINESS DEVELOPMENT
Responsible for creating and executing the company's inorganic growth
strategy. This includes the formulation of acquisition strategies as
well as inbound licensing strategies that enable the company to maintain
its competitive product position and execute its corporate growth
strategy. Manage a small team of professionals.
Key Results:
. Spearheaded the development and execution of the company's strategy
for entering a new product segment through acquisition. In
execution of this strategy, completed 4 M&A transactions for
aggregate consideration of over $400M, leading all aspects of these
acquisitions for the company;
. Led the company through two divestiture transactions (including a
$40M line of business) in execution of strategies designed to
sharpen the company's focus on its core businesses;
. Planned and negotiated a $2M source code licensing transaction that
brought important next-generation technology into the company's
product portfolio in a manner that minimized risk;
. Negotiated a key strategic OEM agreement that adds significant
functionality to the company's supply chain applications suite. To
date, transaction has provided over $4M of net value to the
company.

Commerx was a leading e-Marketplace (SaaS) provider with nearly $70M in
venture funding. Recruited to lead the development and execution of an
acquisition strategy founded upon the company's desire to expand beyond e-
Marketplaces and into supply chain solutions.
VICE PRESIDENT, FINANCE AND CORPORATE DEVELOPMENT
Reporting to the CEO, led the Finance and Corporate Development functions
of the company. Corporate Development responsibilities became focused on
cash conservation and balance sheet improvement in an effort to create
alternative exit options for the investors.
Key Results:
. Divested certain assets of the company, generating significant net
cash proceeds;
. Planned and executed a reorganization which reduced the company's
net cash burn by over 50%;
. Renegotiated key vendor contracts, eliminating over $3M in long-
term liabilities.

Central Benefits is a mutual insurance company focused on the life and
health insurance markets as well as the third-party administration market.
Recruited to devise strategies to access the capital markets and enable
growth via acquisitions.
SENIOR STRATEGIST
Advisor to the Executive Vice President of Legal Affairs and the CEO,
responsibilities included formulating strategies and performing analyses
relating to the company's plans to demutualize, access the capital
markets, and execute an acquisition strategy.
Key Results:
. Created the financial analysis and valuation model used to
negotiate a settlement with the Attorney General of the State of
Ohio regarding the former status of Central Benefits as a Blue
Cross/Blue Shield member. Resolving this issue was a key step
toward enabling the company to access external capital;
. Developed detailed financial models for three acquisition
candidates;
. Presented acquisition candidate to the Board of Directors for
approval, resulting in a unanimous decision to execute a term sheet
and proceed to the diligence phase of the transaction.

Fruehauf was a trailer manufacturer with 3 manufacturing locations as well
as a dealer network of 32 company-owned dealerships throughout the United
States. Recruited to lead the treasury management function, assist in
recapitalizing the company, and improve working capital forecasting and
related analytics.
CORPORATE CASH MANAGER
Responsible for the company's Treasury Management operations, which
involved cash forecasting and working with the company's lenders and
trade partners to improve the working capital position of the company.
Key Results:
. Created the weekly and quarterly cash forecasting analysis that was
used to anticipate the funding requirements of the company,
enabling the company to better manage its working capital;
. Prepared the financial analysis relating to the company securing a
new $45M revolving credit facility under improved terms. Financial
analysis was focused on demonstrating cash flow adequacy.

administer annuity, life insurance, supplemental health insurance and other

TREASURY/ CORPORATE DEVELOPMENT ANALYST
Responsibilities focused on putting treasury management infrastructure
(systems, policies and procedures) in place to enable the company's high
growth strategy. Based upon accomplishments in Treasury, was asked to
