ROMARCO MINERALS INCORPORATED - Sparks, Nevada

. Chief Financial Officer November 2008-June 2009

Implemented new accounting software (Microsoft Dynamic GP) and

converted former accounting system within three months and 25% under

budget. Developed new general ledger chart of accounts, cost

accounting codes and management reports in GP. Instituted change of

the functional currency from CAD to USD. Completed the Company's

first private brokered placement of C$27.4 million. Established

website for all corporate due diligence documents for the private

placement and completed the due diligence process in three weeks.

Prepared the annual information return (AIF) and initiated TSX listing

application. Prepared quarterly filings of financial information on

SEDAR.

STERLING MINING COMPANY - Coeur D'Alene, Idaho

. Chief Financial Officer May 2005-October 2008

Prepared Form 10 filing with the SEC and subsequent filings of Forms

10-K, 10-Q, 8-K and Form 3, 4 and 5 with the SEC to meet the

requirements of becoming a publicly traded company. Upgraded the

Company's stock from a Pink Sheet listing to Over the Counter Bulletin

Board (OTCBB). Responsible for filing and meeting the requirements

for the Company to be listed in Canada and obtaining a ticker symbol

and trading on the Toronto Stock Exchange (TSX). Directly responsible

for filing the S-1 registration statement with the SEC and meeting the

requirements of the Ontario Securities Commission and the Toronto

Stock Exchange (TSX) for a public offering. Conducted Audit Committee

calls and preparation of financial statement for the Board of

Directors. Coordinated the development of a new chart of cost

accounts, forecasting templates and implementation of a new accounting

Responsible for managing financial assets, a portfolio in excess of

$250 million, conversion of debt to equity, preparing and

administering all aspects of the budget and forecasting process, and

analyzing the budget versus actual cost variances for foreign and

domestic operations. Managed corporate insurances, and authorized

foreign currency and commodity hedged positions. Conducted all

aspects of metal sales.

ACCOMPLISHMENTS

TREASURY, BANKING AND FINANCING

. Conducted 3(a)(9) transactions and contacted financial institutions

involved to exchange equity for debt, which reduced debt by

$240,000,000 over a three year period.

. Completed private equity offerings of approximately $50,000,000 USD

with registration of the shares with SEC and $27,000,000 CAD with

registration with the TSX.

. Obtained preliminary approval from the Ontario Securities Commission

and the Toronto Stock Exchange (TSX) for listing the Company in

Canada.

. Researched, identified and negotiated with a syndicate of private

investors to provide the $1,300,000 funds necessary to pay a balloon

payment on a corporate office-building loan, which averted default and

prevented default covenants.

. Developed and implemented a peso hedging program that hedged

$14,500,000 of non-deliverable forward pesos to mitigate the financial

impact of the foreign currency exposure, which saved $750,000 in one

year.

. Coordinated and negotiated with existing heavy equipment leasing

companies and secured a $2M increase in the line of credit, which

enabled the mine to lease three essential pieces of equipment.

. Coordinated with bank and facilitated changes to condense eight

accounts to two, which reduced exposure and saved approximately $1,000

per month in bank fees and costs.

RISK MANAGEMENT

. Developed and presented a model for evaluating economic loss to

company due to the failure of underground shaft at Galena Mine and

negotiated a settlement with insurance carrier of $1,550,000 which

offset repair costs and provided funds for other purposes.

. Researched, analyzed and discovered two years of duplicate payments to

insurance carrier and negotiated a refund of $185,000 in first year as

treasurer.

. Reviewed the fluctuations in New Zealand currency rates and negotiated

a reduction in the US bond amount with the surety company which

reduced bond requirement $963,000.

. Negotiated with insurance carrier for a three-year policy for crime,

fidelity and special crime to lock in lower rates during a time when

policy rates were increasing, which saved $3,000 annually.

COMMODITIES TRADING

. Negotiated with a refining company to hold refining costs and extend

contract from one to two years in exchange for a larger commitment of

material, which resulted in saving $120,000 from the original

proposal.

. Assumed the duties of a previously contracted commodity trader to sell

gold/silver and advise the company on smelting and refining contracts,

which saved approximately $85,000 in fees and provided more discretion

on the timing of receipt of payment for commodity sales.

. Coordinated with the attorneys representing the company in a

bankruptcy case and testified regarding the metals owned by the

company, which contributed to collection of $749,000 in monies owed

the company.
