. Following a market and product viability assessment by the Board and

outside investors, was retained by GE Capital for six months to liquidate

the Company's physical assets and to support the CEO in selling off the

company's intellectual property and winding down corporate operations.

. Directed all accounting operations, including stock incentive plans

and stock transfer agent activities.

. Managed quarterly/annual SEC financial reporting, as well as federal

and multi-state tax reporting.
