. Led efforts regarding corporate accounting and financial

reporting to identify, test and remediate financial controls,

ensuring Sarbanes Oxley Section 404 compliance.

. Coordinated with various departments, management and external

legal counsel in addition to preparing all financial tables and

footnotes for the Company's Form's 10K and 10Q SEC filings.

. Supervised audit and review engagements with external

auditors and internal staff.

. Assisted the Corporate Controller as needed on the earnings

releases for market analysts.

. Managed the accounting for foreign operations, acquisitions,

consolidations and eliminations.

. Managed quarterly consolidated balance sheet reviews.

. Provided guidance to management on the impact of newly issued

accounting pronouncements and other technical accounting issues.

. Managed the annual goodwill impairment analysis with external

valuation experts.
