(Re-organization to turn around both parent company, an importer of specialty coffee, as well as the subsidiary

coffee roasting company, Uncommon Grounds Specialty Coffee, Inc.) – Unable to obtain public or private funding

for company during current national economy.

PRESIDENT & CEO: Recruited by company founder/chairman to “lead us through a re-organization,

and to develop a new strategic plan for company’s future direction.” Conducted initial Strengths, Weaknesses,

Opportunities & Threats (SWOT) Assessment, and confirmed that a re-organization was required at both the

parent company and subsidiary company, as well, e.g., creation of new corporate vision, refinement of corporate

mission statement, and creation of new corporate goals, strategies and tactics. Conducted extensive efforts with

investment banking community to fund new strategic initiatives amidst the backdrop of a national economic

contraction and frozen credit market. Unable to secure either short-term or long-term (“non-toxic” or “dilutive”)

funding needed to execute the company’s new strategic plan and continued corporate operations.

FRANCHISE & ACQUISITIONS CONSULTANT: Conducted acquisition due diligence and consultation

for a national restaurant chain on two acquisitions, one a U.S. based restaurant chain, and the other a Canadian

based restaurant chain. Also provided consultation on re-engineered store layouts of acquiring company, as well as

consultation on adding specialty coffee, breakfast and snack dayparts to the acquiring chain’s menu for

implementation system wide.

PRESIDENT: Recruited by company founder/chairman to “take us to the next level.” Conducted initial

Strengths, Weaknesses, Opportunities & Threats (SWOT) Assessment, and determined that an organizational re-

engineering was required in all company departments, e.g., creation of new corporate vision, refinement of

corporate mission statement, and creation of new corporate goals, strategies and tactics. Worked with corporate

financial analyst to create corporate performance metrics that did not previously exist. Subsequently mentored

corporate directors and supervised the creation of new manuals, toolkits, processes and flowcharts for all corporate

departments. Primary focus of re-engineering was on 1) retaining the current customer base, 2) acquiring new

customers, 3) increasing both customer satisfaction and average check, 4) improving unit revenues and

profitability, 5) creating corporate (systemwide) and departmental performance metrics, and 6) making the

(Owner/Franchisor for Church’s Chicken, a $1B+ QSR fried chicken restaurant company)

DIRECTOR, INTERNATIONAL BUSINESS DEVELOPMENT (promoted from Manager of International and

Domestic Franchise Administration): Responsible for sourcing, qualifying and closing new international

franchise development contracts with potential international franchisees. Developed strategic global vision for

long-term direction of international franchise system. Authored a 5 year global development plan, inclusive of

all target international markets, with projected territory, development and franchise fee revenues and unit

openings by quarter for the entire 5 year cycle. Worked closely with international operations and support team

(Operations, Architecture & Engineering, Marketing, and Research and Development) to align team functions

toward an on-time, successful launch with new international franchisees. Co-authored new franchisee

recruitment brochures and Powerpoint presentations.

• Recruited a multi-national franchisee for a 40 unit, $800K master franchise development contract

covering the entire Middle East and North Africa.

MANAGER, INTERNATIONAL FRANCHISE ADMINISTRATION: Responsible for international franchise

administration to four subsidiary restaurant brands (Popeyes Chicken & Biscuits, Church’s Chicken, Cinnabon,

and Seattle’s Best Coffee) in support of 1,000+ international franchisees and 3,100 franchised units. Crafted

numerous master franchise agreements, area/country development agreements, unit franchise agreements,

amendments, assignment and assumption agreements, terminations, comfort agreements, and related documents.
