As an independent consultant, managed the IPO process for the Company. Included working with auditors

and internal staff to manage the three year audit process; working with Company officers, employees and

investment bankers to develop cohesive strategy to (a) tax structure the investment; (b) evaluate hiring and

staffing plans; (c) create tools utilizing available technology to streamline the SEC reporting process; and

(d) transition responsibilities to appropriate members of the accounting staff.

VINTAGE CAPITAL GROUP, LLC– LOS ANGELES, CALIFORNIA 2006

Worked directly with Chairman in aspects of organization, including investment and disposition

strategies, executive compensation, human resources issues, overall return analysis, agreement

negotiation and implementation of all significant decisions.

Chief Financial Officer

Managed accounting and finance department servicing both the real estate and private equity divisions;

created new and revised existing critical accounting and internal control procedures; negotiated $20

million credit line agreement with Citibank; advised Chairman on significant stock, mutual fund and hedge

fund investment strategies and participated in decision making process for making and disposing of said

investments; analyzed returns on investment portfolio; analyzed prospective real estate acquisitions,

including evaluation of critical assumptions with real estate division, interviews of prospective partners

and contractors; prepared comprehensive, pre- and post-tax analyses of prospective divestiture of existing

real estate properties with built-in sensitivity; developed detailed new member admission calculations for

$45 million private equity fund based on detailed interpretation of partnership agreement clauses;

implemented new banking policies and procedures and transfer of accounts to new banking relationships;

transferred all tax accounting to new accounting firm, including assisting in their understanding of overall

PACIFIC COAST CAPITAL PARTNERS, LLC – Los Angeles, California 2001 to 2006

Chief Accounting Officer (2004 to 2006). Managed accounting and finance department, ensuring

production of reports in timely and accurate manner, including preparation of internal and audited

financial statements and tax returns for over 350 entities. Negotiated partnership documents with major

financial institutions and worked closely with attorneys to implement key deal terms into partnership

agreements. Created detailed financial models, analysis and projections of core business lines, and

evaluated operating results for each core business. Developed strong relationships with key investors and

decision makers. Initiated effort to implement firm-wide system conversion to new technology platform.

Developed detailed cash flow model to allow $1 billion construction company to formally evaluate

company cash flow, project by project. Participated in due diligence on sale of Phoenix Coyotes to

ownership group headed by Wayne Gretzky. Performed due diligence on purchase of Dutch construction

company by major U.S. construction firm. Evaluated acquisition of a REIT by a competing REIT.

Evaluated cash flow projections of large construction company to assist bank in underwriting credit line

renewal.

Manager, Audit (1995 to 2000)

Managed multiple teams working simultaneously on different clients. Responsible for all phases of the

audit process, including planning, fee discussions, supervision of staff, interaction with clients, attending

audit committee and board meetings, writing and reviewing financial statements and SEC filings,

including 10-K, 10-Q and 8-K. Worked on IPO of major office REIT. Managed 15 staff on cash flow

audits for real estate lender.
