Each Work Assignment will be governed b y the terms of this letter and the specific Work Assignment Letter. In the event o f
a ny inconsistency, the terms o f the relevant Work Assignment Letter shall govern.
Execution of any Work Assignment Letter by you shall be a full and complete acceptance b y you to perform U1e services.

required by the Customer) containing the number of hours worked in any given day a t the Customer's location and such
other details as m ay be prescribed by Global lnnovSource and produce the same to Global lnnovSource upon request.
As consideration for the services performed during a ny Work Assignment, Global lnnovSource will pay you remuneration, as

per the Work Assignment Letter. Global InnovSource will be entitled to make deductions as per applicable law or in respect
of any amounts due to Global lnnovsource or t ile Customer from you. You will be reimbursed any approved expenses
subject to your submitting original bills/ declarations as required by Global JnnovSource a nd/or the Customer.
Any intellectual property that results from w ork performed b y t ile individual under a ny Work Assignment l etter shall be the

property of the Customer and the individual agrees to assign/ transfer to the Customer, the worldwide, perpetual and entire
right, title, and interest in all intellectual properties including all rights to obtain, register, perfect, and enforce patents,
copyrights, and other intellectual property protection under any laws and conventions.

Customer or Global lnnovSource are provided to you in trust and on lapse/ termination o f the Work Assignment, you shall
promptly r eturn a!J s uch m aterial t o t he C ustomer o r Global J nnovSource, a s t he c ase m ay be.
9. You agree that this Letter o f Engagement creates no obligation on the p art o f e ither party unless you are selected for a
particular Work Assignment and you execute t ile relevant Work Assignment. Sy executing this Letter o f Engagement, n either
do we offer you employment w ith Global lnnovSource nor do you become an employee of Global InnovSource. The terms o f
th1S Letter of Engagement shall h owever govern any Work Assignments that you undertake to perform.
10. Should you be selected to perform the Work Assignment, the nature of y our relationship with Global InnovSource w ill be
that o f E mployment/ Contract of Service for a period mentioned in the Work Assignment Letter. Upon lapse o r termination o f
t.he Work Assignment, your employment w1th Global lnnovSource shall stand terminated forthwith.
Except for lapse o f a War~: Assignment due to completion, 1f e ither Party wishes t o terminate the Work Assignment during its

existence, the termmating Party shall provide a notice of One Month to the o ther Party for Work Assignments o f duration 6
months or more. However, in case o f Work Assignments of duration under six months duration, a notice period of Fourteen

You agree to d efend, i ndemnify and hold Global tnnovSource o r the Customer harmless from any and all claims, dan1age'i,

Engagement or u nder the Work Assignment Letter or for misconduct, violation of any l aw o r creat1on o f any legal liability by
you.
15. Any dispute between the Individual and GloballnnovSource shall be referred to a sole a rbitrator to be selected from a list o f
arbitrators nom1nated by Global InnovSource. The arbitration shall be conducted in English language, m accordance with the
Arbitration and Conciliation Act, 1996, a t f'lumbai, Jndra. This engagement l etter shall be governed in all respects by the laws
o f India.
In addition to tile terms contained herein, your relationship itll Global lnnovSource m ily be subject to such other additiOnal
