structured the fundamental agreement concepts prior to outside legal

stent manufacturer.

. Led in formulating and papering a transaction to license (with a

purchase option) Anecare's technology

. Managed the successful and critically important reconstituting of an

"S" and "C" corporation navigating difficult tax matters preparing the

company for a transaction

START - UPS

. Concluded a DM 20 Million secondary financing with roadshows

and listing on the EASDAQ market

. Secured $10.25 Million with 6 private placement financings of

convertible preferred stock. Negotiated the provisions of the

offerings with underwriters, placed the financings with investors and

completed the registration statements

. Conceived and implemented split company strategy with a "C" corp

spinoff overcoming limitations in fund raising in an "S" Corporation,

including an exclusive license agreement which was personally drafted

prior to review by corporate counsel

. Established and maintained good working relationships with Board of

Directors and outside investors, including Draper Fisher Jurvetson,

Motorola and Siemens

. Developed private placement memorandum (PPM) and subscription

agreement and closed second round private placement; also co-wrote

with SunTrust Equitable Securities a confidential PPM to place large

device management service into a local co-location facility

. Developed sophisticated cost and inventory control systems that

real estate subsidiary

EVP, CFO and Secretary for privately held embedded software development

company whose products made it possible for electronic products to reveal

themselves to the internet for diagnostics, management and control.

Responsible for Finance, HR, and IT, Trademarks and Legal Agreements.

Company sold to Panasonic

TRAINSEEK Salt Lake City, Utah

1999 - 2001

CFO and Secretary for this privately held internet marketplace for

customers to find, compare, preview and purchase training solutions.

Responsibilities included all financial reporting, HR, budgeting, financial

analysis and investment banking. Company shut down.

INTEGRATED SURGICAL SYSTEMS Davis, California 1997 -

1999

CFO and Secretary for this publicly traded (NASDAQ), innovative world

leader in image directed, computer assisted surgical robotics.

Responsibilities include all Financial Reporting, Investor Relations and

HR, budgeting, investment banking, etc.

SVP & CFO for this widely respected (Forbes Honor Roll - One of the Best

200 Small Companies in America for 5 years) publicly traded (NASDAQ)

specialty medical device manufacturer. Responsibilities include all

investor relations. Also served as President of Benchmark, Inc., a wholly

owned real estate development subsidiary. Baxter Healthcare acquired this

company in a transaction valued at $236 Million
