. Managed the successful and critically important reconstituting of an
"S" and "C" corporation navigating difficult tax matters preparing the
company for a transaction
START - UPS
. Concluded a DM 20 Million secondary financing with roadshows
and listing on the EASDAQ market
. Secured $10.25 Million with 6 private placement financings of
convertible preferred stock. Negotiated the provisions of the
offerings with underwriters, placed the financings with investors and
completed the registration statements
. Conceived and implemented split company strategy with a "C" corp
spinoff overcoming limitations in fund raising in an "S" Corporation,
including an exclusive license agreement which was personally drafted
prior to review by corporate counsel

leader in image directed, computer assisted surgical robotics.
