. Manager of 7 Real Estate Representatives in Texas,
Louisiana, Colorado, Arizona, New Mexico and California.
. Manager of NTI (New to Industry) program, purchasing
sites for new ground up locations. Acquired land and
built 18 new units in past 2 years. This includes
locating sites, obtaining senior management approval,
site layout, easements or other agreements, contract and
lease negotiations.
. Responsible for daily activities of 1000 company owned
stores as it pertains to real estate.
. Part of management team that determines disposal of
underperforming assets and analysis of potential
multiple acquisition candidates.
. Negotiates all ROW acquisitions for the company
concerning operating retail units.

. Responsible for all real estate activities for the Texas
Gulf Coast, Corpus Christi, Louisiana, and the Valley
. Identification of under-performing or non-performing
assets by analysis of three year historic reviews of P &
L statements including trends of sales (gas and
merchandise-including margins), operating expenses,
EBIT, EBITDA and NBV.
. On-site reviews of local and regional economic activity
surrounding the assets as well as conflicts with other
assets in the defined market area.
. First line recommendations as to the disposal of under-
performing assets including discussions with operations
to insure maximum value while not in conflict with
existing assets.

. Sale of assets (operating units)-Prepared bid sheets,
distributed marketing packages, evaluated sealed bids,
and made recommendations to senior management. Prepared
contracts including working with buyer's lenders to
insure closing of site. Transferred TABC licenses and
sale of inventory on day of closing and collected all
funds at closing. Sold 194 stores for a total price of
$41MM.
. Non-assignable leases-Prepared bid sheets and marketed
to public as a sub-lease operating store, negotiated sub-
lease and sold inventory on the day of closing.
. Under-performing Assets (In conflict)
Fee Units-Closed stores, removed tanks and placed on
market for sale (restricted against gas and C-store
use).
Leased Units-Placed on market for sub-lease for
alternative use.
Disposed of 28 fee properties for $7.7MM and produced
37 sub-leases generating $1.22MM annually.
. Evaluation of Leased Assets (Renewal/Options) First line
recommendation to senior management using three year
historic reviews of P & L's, operating expenses, review
of asset and surrounding market place. Negotiated
renewal or options and made recommendations to
management on viability of terms. Reviewed 193 leases
between 1996 and 2003.
. Lease Termination/Cancellation Periodic review of under-
performing lease assets for early termination.
Negotiated cancellation of leases and sale of equipment
and inventory with landlord. Closed and returned 42
stores while receiving $1.42MM in compensation from
landlords.
. New site development Identified new sites and fill-in
sites (as needed) in market place. Upon senior
management approval, negotiated purchase of site,
performed economic evaluations, negotiated contracts,
and handled all special use permits, zoning changes,
architectural changes, beer and wine permits, and all
other items required to obtain a building permit and to
close on the sites. Acquired 115 new sites in Texas,
Louisiana and Arizona.
. Right of Way/Condemnation Handled all right of
way/condemnation by government entities on any property
holdings in my regions. Hired attorneys and attended
all meetings and hearings. 29 right of way acquisitions-
received approximately $9MM in compensation.

. Appraisals/Evaluations (Possible Acquisitions) For
potential acquisition of third party assets, was
required to appraise/value and rank assets of
competitors for possible acquisition.
1984-1988 Shopping Center Development
Joint venture to develop 10,000-20,000 square foot
specialty centers. Handled all site evaluation,
acquisition, permitting, and some tenant negotiations for
the joint venture. Acquired 17 sites, built 9 strip
centers-Florida, California, Texas, Kansas, and Nevada.
1972-1984 Oil, Gas, and Mineral Landman
Worked for Sun Oil, Rocky Mountain Energy and Mapp
Exploration. As a landman for these companies my
responsibilities included acquisition of producing
properties, joint venture drilling agreements, oil, gas,
and mineral leasing including lode and placer claims for
uranium.
