I have a somewhat diverse background as an attorney that includes research
and development contracts, business agreements, government procurement,
document reviews, environmental, energy (renewable), international
(primarily the Middle East), and limited intellectual property activities,
as well as varied management and staff functions at a nonprofit
organization. All of this work has been conducted in an in-house or a sole
practitioner role.
I am primarily seeking part-time, temporary, or contract assignments in the
US or overseas. Minimal relocation assistance may be required for
assignments within the US, depending on the nature and duration of the
assignment. As a self employed attorney, I am available for fairly prompt
relocation and/or extensive travel.
I have worked in the renewable energy field in both the US and the Middle
East (primarily in Saudi Arabia) on various solar energy projects as both a
contract manager and as an attorney. This work was conducted while employed
by Midwest Research Institute, the manager of the Department of Energy's
National Renewable Energy Laboratory.
With my experience, I offer the capability of operating independently or as
a member of a team. I formed department staffs and also special teams to
address issues that arose during the course of business operations. This
experience includes, among many other activities:
. Preparing or reviewing commercial contracts/subcontracts
. Preparing or reviewing business agreements
. Preparing or reviewing research and development contracts
. Full range of US government procurement responsibilities
. Reviews of legal documents for privilege, potential risks, etc.

. Participation in intellectual property activities (primarily
licensing)
. Varied management and staff functions at a nonprofit organization
Should it be necessary for a company's operations, and the right
opportunity, I would also be able to relocate worldwide on a single status
basis for short or long term assignments. I have worked on overseas
assignments in Saudi Arabia.
ATTORNEY (Self Employed) 1992 to Present
Currently working as an Attorney providing business and legal services to
law firms and companies on a contract basis.
Provide consultation to clients in such areas as: review of US Government
contracts for legal compliance, internal corporate document reviews,
proposal preparation and review, contract negotiation and administration,
and preparation or review of various agreements required for ongoing
business activities.
Since 2002 engaged part time as Of Counsel by Stewart and Associates P.C.,
located in Atlanta, Georgia, to perform legal services for the firm and its
clients throughout the State of Missouri.
MIDWEST RESEARCH INSTITUTE (MRI) Kansas City, Missouri 1979 - 1992
Assistant to the Senior Vice President and Treasurer (1989 - 1992)
Provided legal and business support for corporate management, scientific
staff and MRI's subsidiary entities.
Prepared various documents that included patent licenses, contracts for
research, and proposals for MRI's international programs.
Provided legal guidance for a team of technical specialists reviewing the
operations of MRI, as manager of the US Department of Energy's National
Renewable Energy Laboratory (NREL) in Golden, Colorado, to ensure
compliance with environmental, safety and health regulations.
Assistant Chief Counsel - MRI/National renewable energy laboratory division
(1989- 1991)
(Duties conducted concurrently with those of Assistant to the Senior Vice
President and Treasure, Traveled weekly to Colorado to meet these
responsibilities)
Provided legal guidance to senior management in environmental, safety,
health, and other related laws.
Reviewed and provided legal approval of NREL subcontracts, leases, and
various other contractual commitments.
Assumed the responsibilities of Director of Procurement for NREL during the
transition period for replacement of the former director.
Manager, Legal and Financial Services, MRI International Division (1982 -
1989)
Coordinated legal, accounting, and support services for US, third country
national, and local staff.
Developed employment agreements, personnel policies, and operating
procedures for MRI's international programs.
Designed contract formats for research, service, and construction projects
performed in both the United States and Saudi Arabia.
Developed a cost control system that ensured that programs were completed
within budget.
Promoted MRI business interests through marketing trips in the United
States, Europe, Saudi Arabia, the United Arab Emirates, and Hong Kong.
Conducted negotiations for major contracts for the International Division.
Provided on-site direction for the "close-out" activities for MRI projects
in Saudi Arabia.
Interfaced with the U. S. Department of Energy and DCAA for subcontract
audits and the audit of MRI.
Drafted and negotiated subcontracts for a $100,000,000 solar energy project
jointly funded by the United States and Saudi Arabia.
Chief, Prime Contracts Branch - National Renewable Energy Laboratory (1981
- 1982)
Administered the contract between MRI and the U.S. Department of Energy for
the operation of NREL.
Oversaw the fulfillment of corporate contract objectives and requirements.
Provided legal support to senior management with regard to business
policies, contract negotiations, and international agreements.
Coordinated NREL's first international program, located in Saudi Arabia.
Provided on-site assistance for the establishment of the logistical support
base in Saudi Arabia.
Contracts Manager (1979 - 1981)
Established (while on-site in Riyadh, Saudi Arabia and at $700,000 less
than expected), the logistical support services for MRI's first
international contract -- a multi-year consumer protection project. This
task was significant because MRI had inadvertently not included various
housing and other costs of about $500,000 in its proposal.
Extensive experience with US government contract negotiations and
administration. Agencies included EPA, DOE, and HHS.
