MAJOR RESPONSIBILITIES AND ACCOMPLISHMENTS
. Served as a senior associate in commercial transactions practice,
responsible for managing client relationships, supervising teams of
lawyers and managing risks in high stakes commercial matters
. Successfully assisted MEASAT Satellite Systems Sdn. Bhd. with the
joint procurement, finance and operation of a satellite in a shared
orbital slot with the International Relations and Accounting Centre of
the Ministry of Communications and Information Technologies of the
Republic of Azerbaijan in what will be the Republic of Azerbaijan's
first telecommunications satellite
. Structured and negotiated satellite purchase agreements, launch
services agreements and related commercial agreements on behalf of
major satellite industry operators with satellite manufacturers such
as Boeing Satellite Systems, Space Systems/Loral and Lockheed Martin
and launch services providers such as Arianespace, Boeing Launch
Services and International Launch Services
. Conducted a detailed review of programming, affiliate and licensing
agreements, as well as FCC regulatory guidance, on behalf of certain
investors in Young Broadcasting Inc.
. Advised Credit Suisse Securities (USA) as sole lead arranger and book-
runner in the $185,000,000 senior secured first priority and
$65,000,000 senior secured second priority credit facilities for
CapRock Communications, Inc. and to fund the acquisition of Arrowhead
Global Solutions, Inc.
. Successfully structured and negotiated insurance requirements and
other risk management undertakings contained in numerous complex
financing arrangements
. Advised clients on the various effects of the Communications Act of
1934 (as amended by the Telecommunications Act of 1996) on their
communications projects, such as the effect of the FCC's foreign
ownership restrictions and media cross-ownership restrictions,
including in the context of bankruptcy and restructuring of distressed
financings
. Advised satellite operators with regard to compliance with the
International Traffic in Arms Regulations (ITAR), including preparing
internal policies and procedures for such operators to follow in order
to ensure compliance with ITAR and representing clients with the
Department of State to obtain approvals for exports
