Act of 1940

. Monitored ownership changes in relation to Code Section 382 and

assisted with Charter Amendment to prevent an ownership change under

Section 382 (prior to June 9, 2010 intentional Section 382 ownership

change)

. Assisted with tax issues relating to the acquisition of another

management company in June 2010 including issues related to purchase

price allocations, debt restructuring, and Section 382 consequences

. Managed the final stages of preparation and filing of the 2009 SEC

financial statements, and quarterly management fee calculations and

invoices for the Managed Accounts (prior to sale of Managed Accounts)

. Developed solutions to maintain REIT qualifications for the tax year

ended 2007, including asset transfers to taxable REIT subsidiaries

. Researched and prepared memos and presentations to management and the

board of directors on alternative tax structures for 2008, including

publicly traded partnerships and corporations

. Prior to de-REITing in 2008, prepared and analyzed quarterly REIT

qualification tests, prepared distribution requirement calculations,

calculated 1099-DIVs, and maintained required REIT records

. Assisted with tax issues relating to the merger of the public company

with the management company (2007)

. Reviewed and coordinated transfer pricing for both the London

subsidiary and the domestic companies

. Prepared liquidity forecasts during the liquidity crisis in

fall/winter of 2007
