TRANSACTIONAL CONTRACTS
Instrumental in drafting, negotiating and generating over $1.5 billion in
commercial transactions over the length of my career involving companies
located in the United States, Europe, Latin America, Africa and Asia: Also
experienced in international and domestic joint ventures, heavy equipment
leasing transactions (domestic and international), business models, export
compliance, issues of political and currency risk, intellectual property
protections.
Attained experience in over 20 years of national and international
aerospace, high technology and civil government procurement programs. I
have also been involved with international money transfers, trade control
requirements involving, but not limited to, International Trade in Arms
Regulations (ITAR), Export Administration Requirements (EAR) and Office of
Foreign Assets Control (OFAC) and insuring compliance with the Foreign
Corrupt Practices Act (FCPA).

due diligence reviews (business and financial status), joint development
alliances, joint ventures, credit agreements, risk management, business

PROFESSIONAL EXPERIENCE:
10/09 to 3/11: Safeway Inc., Walnut Creek, California
Information Technology Contracts Counsel - managed, drafted and
negotiated a full range of information technology contract documents from
several thousand to several million dollars in value
Responsibilities included intellectual property (trade name, trademark
and copyright) protection. Revised and updated existing contract
documentation to conform to "best business practices" and revised the
request for information (RFI)/request for proposal (RFP) processes for
the IT Department bidding process.
1/07 to 08/09: Sea Launch Company LLC, Long Beach, California
Contracts Manager
Prepared proposal documentation for company products and services and
provide legal oversight. Formulated and implemented effective negotiation
strategies, including the identification and drafting of appropriate
contract types with signature authority to execute company agreements.
Provided transactional support and advice to program and senior
management.
Performed a full spectrum of contract and subcontract functions relative
to domestic and foreign partners and customers. Resolved contract scope
issues with domestic and international contract activities. Advised
marketing and senior management on Foreign Corrupt Practices Act issues
and guidelines in the conduct of foreign trade, as required.
Acted as the Intellectual Property focal including the drafting and
negotiation of non-disclosure agreements, licensing agreements, trade
secret protections, observance of trade name and trade mark protections
and provide oversight on any copyright issues.
Reviewed and updated/revised contract documentation to obtain appropriate
legal protections.
Negotiated and concluded contracts which could realize over $600 million
in sales.
8/05 to 1/07: Connexion by Boeing, Irvine, California
Contracts Manager
Prepared and supported preparation of technology proposals, agreements,
and complete cost resource estimates and pricing; assessed or determined
profit and earnings objectives; and performed the final pricing review
and approval.
Drafted and negotiated a wide variety of contract documents and
agreements with authority to execute same in conformity with Boeing
Guidelines, policies and procedures (domestic and international).
Documents included, but were not limited to ISP equipment and service
agreements for commercial aviation and maritime mobile internet system
applications, software licensing, trade name and trademark licensing, non-
disclosure agreements, personal service contracts, marketing and sales
agreements, and joint venture agreements.
Identified, assessed, and assisted in risk management; negotiated,
committed, executed, and administered contracts and agreements, including
communicating and interpreting performance requirements, delivery
obligations and schedules, and related terms and conditions to ensure
accurate and complete business transactions. Prepared and maintained
process documentation, performance measures and service metrics, and
other customer or management-required reports. Advised company management
of contractual rights, obligations and risks; compiled and analyzed
proposals, agreements, and contract performance data and provide advise
accordingly. Maintained historical proposal and contract performance
information, prepared and maintained applicable policies and procedures,
and trained/coached Contracts personnel.
Negotiated contracts which could have realized over $70 million in
equipment and ISP support sales and services; had the company continued
in existence.
Performed negotiations to wind down the company's contractual affairs
with Asian airlines as Connexion commenced the cessation of its business.
11/01 to 8/05: County of Alameda, Oakland, California
Senior Contracts Specialist- General Services Agency
Responsible for organizing, directing, supervising and mentoring a ten
(10) member contracts team made up of Contracts Specialists, Assistants
and Purchasing Technicians. This effort involved the preparation of
Requests for Proposals/Quotations, cost analysis, contract drafting and
negotiation for the procurement of complex, highly technical IT equipment
for both the County IT Department and Sheriff's Office, software
licensing, services, supplies and materials for the County of Alameda.
Redrafted the General Service Agency's standard requests for
proposals/quotations used by several County and public agencies. Provided
guidance, interpretation and support in the prevention of contract
disputes and oversaw administration of prime contracts.
02/93 to 08/00: PJG Corporation, Santa Clara, California.
Owner/Vice President/General Counsel
Responsible for day-to-day management and operation of an automotive
parts warehouse distributor with 28 employees.
Responsibilities included the supervision of financial, regulatory
compliance and legal issues for the corporation and a small group of
related corporations; maintaining corporate records and minutes (acting
as General Counsel for four parts warehouses); creating and implementing
an employee benefits programs; overseeing employment compliance issues;
and, advising and representing key employees in legal matters.
Responsible for over $7 million in sales.
04/88 to 01/93: Polaris Aircraft Leasing Company, San Francisco,
California.
Vice President, Sales and Marketing - International.
Responsible for the implementation of an aircraft leasing and marketing
program in the Caribbean, Mexican, Central American, and South American
regions and directed a regional marketing staff of four.
Additional responsibilities included assessing political risk of aircraft
appropriation and currency fluctuations; assuring that aircraft were
maintained to U.S. airworthiness standards; interfacing with executive
airline management and government officials; utilization of extensive
experience in negotiating and implementing aircraft acquisitions,
sale/leaseback agreements and aircraft leasing in Europe, Asia and Latin
America.
Responsible for $211 million in transactions.
01/86 to 04/88: Saab Aircraft International, Windsor, England.
Vice President, Contracts.
Recruited to create and implement a contracts department and company
policies and procedures in a multinational environment and acted as legal
advisor to the president of the company. Drafted and negotiated aircraft
purchase and lease agreements, technical and/or non-conformity
documentation and aircraft acceptance documents. Had direct
responsibility for the management of international money transfers and
negotiable instruments.
Additional responsibilities included drafting of document templates for
agreements conforming to United States and United Kingdom legal
standards, purchase agreements, financings, leases, amendments,
negotiable instruments, and escrow instructions; interfaced with English
counsel on administrative compliance and local business issues involving
matters governed by the laws and regulations of Great Britain; work
closely with Hong Kong counsel to assure regulatory compliance of the
company office in Hong Kong; direct interface with Saab-Scania General
Counsel on issues of contract compliance, international products'
liability, warranty and conformity of contract documentation to meet
international standards.
Responsible for $162 million in transactions.
05/81 to 01/86: McDonnell-Douglas Corporation, Long Beach,
California.
Contracts Manager, Commercial Contracts
Drafted, negotiated and implemented aircraft purchase agreements, flight-
crew training agreements and technical support agreements with European
and African airlines.
Additional detailed responsibilities included preparing aircraft delivery
documentation; drafting conformity documentation at delivery/acceptance
of aircraft; overseeing aircraft delivery procedures; transferring of
international funds; monitoring aircraft test flights, post-flight
debriefings on aircraft performance and flight qualities; and, drafting
technical acceptance documents to warrant potential, non-critical design
or manufacturing discrepancies.
Responsible for $450 million in transactions.

Graduated from Western State University, College of Law with a Juris
Doctor degree.
Graduated from the University of Southern California with a Bachelor of
Arts degree in Political Science from the College of Arts and Science.
